澳優(01717.HK)獲伊利股份(600887.SH)溢價約13.67%提收購要約 明日復牌
格隆匯10月27日丨澳優(01717.HK)公佈，公司獲賣方通知，於2021年10月27日，要約方香港金港商貿控股有限公司與賣方集團訂立購股協議。根據購股協議，多名賣方已有條件同意出售，而要約方已有條件同意購買合共5.31億股股份，約佔公司於本聯合公吿日期全部已發行股本30.89%，總代價為53.4億港元（即每股出售股份10.06港元）。
同日，要約方與公司訂立認購協議，據此公司有條件同意發行，而要約方有條件同意以現金認購9000萬股新股份，佔本聯合公吿日期已發行股份總數的5.24%及經發行及配發認購股份擴大後已發行股份總數的4.98%，總認購價為9.05億港元（即每股認購股份10.06港元）。
公司擬將認購事項將收取的所得款項淨額用作以下用途，：1.所得款項淨額的30%將用於為公司擴大上游生產設施提供部份資金。2.所得款項淨額的30%將預留用於未來收購營養相關業務。於本聯合公吿日期，公司正在考慮收購一家從事營養品及功能食品行業公司的股權。就此而言，於本聯合公吿日期，公司仍在就此進行磋商，且尚未訂立具法律約束力的協議；3.所得款項淨額的20%將用於提升集團在中國的加工及物流能力，尤其是用於建造集團的第三家工廠，該工廠將成為集團的未來物流中心，以擴大集團的物流及倉儲能力；4.所得款項淨額的10%將投資於集團的品牌建設相關活動，以應付集團的業務擴張；及5.所得款項淨額的餘下10%將用作集團的一般營運資金。
於完成後，要約方將於合共6.21億股股份中擁有權益，佔按經發行及配發認購股份擴大後公司全部已發行股本計算的公司投票權的約34.33%。根據收購守則規則26.1，於完成後，要約方將須就所有已發行股份作出強制性有條件現金要約。每股要約股份現金10.06港元，較10月11日收市價8.85港元溢價約13.67%。
據悉，金港商貿是一家於香港註冊成立的公司，主要從事投資及貿易業務。該公司由伊利股份(600887.SH)全資實益擁有。
要約方認同公司的戰略、文化、團隊與業務，將繼續支持公司的獨立運營，並維持公司於香港資本市場的上市地位。要約方有意讓公司繼續專注發展現有業務。要約方無意於要約截止後對集團的現有營運及業務作出任何重大變動。
此外，公司已向聯交所申請股份自2021年10月28日上午九時正起在聯交所恢復買賣
