新股公告 | UJU HOLDING(01948)今起招股 擬發行1.2億股

HOLDING(01948)於2021年10月26日至29日進行招股，擬發行1.2億股股份，其中香港發售佔10%，國際發售佔90%;另附有15%超額配股權，發售價每股6.70港元-9.16港元，每手1000股，預期股份將於2021年11月8日上午九時正開始買賣。
公告稱，公司自2018年起營運，是中國新興及快速增長的線上短視頻營銷解決方案行業中快速增長的市場參與者之一。公司主要通過公司的媒體合作夥伴提供一站式跨媒體線上營銷解決方案，尤其爲線上短視頻營銷解決方案，爲廣告主客戶營銷他等的產品及服務，並以此產生收益。
於截至2018年、2019年及2020年12月31日止年度，公司分別實現收益11.56億元、34.51億元及63.61億元(人民幣，下同)，年內溢利分別爲5014.4萬元、8191.4萬元及1.33億元。
據瞭解，公司已與基石投資者訂立基石投資協議，據此，基石投資者已同意在若幹條件的規限下按發售價認購總金額1500萬美元可購買的有關數目的發售股份。基石投資者分別爲字節跳動(香港)有限公司(由字節跳動有限公司全資擁有)及GREEN
BETTER LIMITED(由小米集團全資擁有)。
假設發售價爲每股發售股份7.93港元，公司估計收取全球發售所得款項淨額約8.84億港元。約4.9%用於升級公司的優量引擎平臺，專注於研發及利用AI能力及SaaS技術;約3.3%用於開拓與在線上短視頻平臺從事電商業務的公司廣告主客戶之商機;約6.6%用於提升公司使用AI技術進行內容製作的能力，令公司更高效及有效地製作及優化海量的線上營銷解決方案;約59.3%用於透過提升與現有媒體合作夥伴的關係以及擴大公司的廣告主客戶及媒體合作夥伴羣擴展業務;約16.0%用於尋求可增強公司在當地線上營銷的實力並與公司形成協同作用的戰略性投資和收購商機;約9.9%用於營運資金及一般企業用途。
