友阿股份(002277.SZ):與湖南建工以18億元競得長沙燕山街舊城改造項目地塊
格隆匯10月19日丨友阿股份(002277.SZ)公佈,公司第四屆董事會第九次會議和2014年第一次臨時股東大會審議通過了《關於參與燕山街舊城改造項目土地一級開發的議案》,同意公司參與燕山街舊城改造項目地塊(“項目地塊”)的一級開發及項目地塊的競拍,並授權公司董事會全權決定公司參與項目土地競拍的所有事宜。2014 年3 月12 日公司與長沙城東棚户區改造投資有限公司(“棚改公司”)簽署了《燕山街舊城改造項目合作協議》,棚改公司負責項目地塊一級開發整理,包括辦理徵收手續、組織徵收、徵地拆遷補償、地塊控規調整等,完成項目地塊上市“招拍掛”之前的全部前置工作;公司負責籌集項目地塊一級開發所需的全部資金,參與資金的使用監督以及參與項目土地的競拍。具體內容詳見公司2014 年1月24日刊載的《關於參與燕山街舊城改造項目土地一級開發的公吿》(公吿編號:2014-005)。上述地塊於2021年9月16日在長沙市國土資源網上交易系統公開掛牌([2021]長沙市128號)(即燕山街舊城改造項目地塊,“標的地塊”)。
公司於2021年10月18日召開第六屆董事會第二十二次會議,審議通過了《關於參與聯合競買燕山街舊城改造項目地塊的議案》,同意公司與湖南建工地產投資有限公司(“湖南建工”)聯合參與標的地塊國有建設用地使用權的掛牌出讓競買。
2021年10月19日,公司與湖南建工按照法定程序通過長沙市國土資源網上交易系統參與競買,以人民幣18億元競得標的地塊的土地使用權。
該地塊宗地號:[2021]長沙市128號;土地位置:芙蓉區五里牌街道 ;用地面積:約22639.05平方米;規劃用途:商業,住宅,建築面積商住比43%∶57%;容積率:≦10.6;出讓年限:商業40年,住宅70年。
公司此次參與聯合競買土地使用權是為了擴建友誼商店AB 座,擴大公司在袁家嶺商圈的發展空間,提升公司整體競爭力,使公司獲得強有力的持續經營與發展能力。此次競買土地使用權事項符合公司長遠發展規劃,符合全體股東和公司的利益,不會對公司的財務狀況及經營業績產生重大影響。
