北京城鄉(600861.SH)：擬購買北京外企100%股權、主營業務將變更為人力資源服務 明起復牌
格隆匯10月19日丨北京城鄉(600861.SH)公佈重大資產置換及發行股份購買資產並募集配套資金暨關聯交易預案，北京城鄉擬以截至評估基準日除保留資產外的全部資產及負債與北京國管持有的北京外企86%股權的等值部分進行置換，置出資產將由北京國管承接。
北京城鄉擬向北京國管以發行股份的方式購買北京國管持有北京外企86%股權與置出資產交易價格的差額部分，擬向天津融衡、北創投以及京國發以發行股份的方式購買其分別持有的北京外企8.8125%、4.00%、1.1875%的股權。通過本次重組，北京城鄉將取得北京外企100%股權。
此外，上市公司擬向北京國管以非公開發行股票的方式募集配套資金，募集配套資金髮行股份的數量不超過9504.148萬股，不超過此次交易前上市公司總股本的30%，募集配套資金總額不超過此次交易以發行股份方式購買資產交易價格的100%。
發行價格按照不低於定價基準日前20個交易日公司股票交易均價的80%的原則，確定為16.80元/股。
此次募集配套資金擬用於支付相關交易税費及中介機構費用、置入資產項目建設、補充上市公司及置入資產流動資金、償還債務等，其中用於補充上市公司和置入資產流動資金、償還債務的比例不超過此次交易作價的25%或募集配套資金總額的50%。
此次交易完成前，上市公司所從事的主要業務以商業和旅遊服務業為主，文創及物業等其他業態為補充，商業主要經營模式包括聯營、自營及租賃，其中主要採取聯營和租賃的經營模式。
此次交易完成後，上市公司主營業務將變更為人力資源服務，包括人事管理服務、薪酬福利服務、業務外包服務、招聘及靈活用工服務等。此次交易有利於上市公司探索新業務轉型、尋求新利潤增長，有利於提升上市公司盈利能力和綜合實力。
此外，經向上海證券交易所申請，公司A股股票將於2021年10月20日(星期三)開市起復牌。
