三六零(601360.SH)：擬以29億元投資入股哪吒汽車 進一步深入研究智能網聯汽車安全問題
格隆匯10月18日丨三六零(601360.SH)公佈，公司擬以自有資金共計人民幣29億元投資入股合眾新能源汽車有限公司(“哪吒汽車”或“標的公司”，合眾新能源汽車有限公司旗下的汽車品牌為哪吒)，此次投資擬以增資方式分兩步進行，兩個步驟互為條件，不可單獨執行。
第一步，公司全資子公司成都鴻景科技有限公司(“成都鴻景”)擬以零對價受讓哪吒汽車股東南寧民生新能源產業投資合夥企業(有限合夥)(“南寧民生”)於 2020年2月B輪融資時獲得但尚未實繳出資的標的公司增資權，並以自有資金向標的公司增資人民幣9億元獲得10.6944%的股權。
第二步，公司全資子公司天津奇睿天成股權投資中心(有限合夥)(“天津奇睿”)、三六零(北京)私募基金管理有限公司(“三六零基金管理公司”)擬參與D1輪融資，合計擬以自有資金人民幣20億元增資入股哪吒汽車。
此次投資全部完成後，公司將間接合計持有哪吒汽車16.5940%股權，合計成為哪吒汽車第二大股東。此次交易不會導致公司的合併報表範圍發生變化。
哪吒汽車與三六零不存在產權、業務、資產、債權債務、人員等方面的其它關係，為一家主要從事新能源汽車的研發、生產和銷售業務的有限責任公司。
公司此次擬投資入股哪吒汽車，主要基於網絡安全及智能網聯汽車行業良好的發展機遇和市場前景預期。目前哪吒汽車經營穩健，根據乘聯會新能源乘用車零售銷量數據顯示，哪吒汽車2021年9月的交付量首次超過7000台達到7699台，環比增長16.4%(2020年全年總銷量15091輛)，已位居9月造車新勢力前三，是行業領軍企業之一。
公司戰略投資入股哪吒汽車，擬以智能網聯汽車安全作為基石，將自身在網絡安全、智能硬件安全、車聯網安全等領域的積累和經驗賦能哪吒汽車，並將依託雙方後續深度戰略合作，進一步深入研究智能網聯汽車安全問題，從而更好地為全行業車企及產業鏈夥伴提供智能網聯汽車安全服務。未來，三六零計劃與其它哪吒汽車戰略合作伙伴分別發揮各自在車聯網安全、智能駕駛、智能座艙等方面的核心優勢，共同協助哪吒汽車不斷進行產品打磨升級，使網聯汽車在智能化進程中兼顧OTA信息安全、數據安全、功能安全、運營安全，打造智能網聯汽車全生命週期安全解決方案的行業標杆。
