海昌海洋公園(02255.HK)擬向亞洲私募股權基金出售四個主題公園公司及鄭州項目公司權益 涉資達65.3億元
格隆匯10月18日丨海昌海洋公園(02255.HK)發佈公吿，2021年10月13日，買方(即Aquaman Hong Kong Limited，MBK Partners Fund V, L.P.的間接全資附屬公司)與賣方(即公司、香港海昌、大連海昌及鄭州海昌)等方訂立該協議。根據該協議，賣方同意出售目標權益，包括(i)武漢公司、成都公司、天津公司及青島公司各自的100%股權及(ii)鄭州項目公司的66%股權，且並無附帶任何產權負擔。目標權益將通過大連出售及鄭州出售分兩批出售。目標權益包括四個主題公園公司各自100%股權及鄭州項目公司的66%股權。大連代價為人民幣60.8億元，鄭州代價為人民幣4.5億元，因此，代價為人民幣65.3億元。
MBK Partners成立於2005年，是亞洲最大的私募股權基金之一，管理資本超過254億美元。MBK Partners專注於北亞，在各個行業均有專長，包括消費及零售、電訊及媒體、金融服務、保健、物流及工業。MBK Partners的48家投資組合公司總收益超過495億美元。MBK Partners在北亞的五個辦事處擁有77名投資專業人士。
四個主題公園均為坐落於城市市區內的海洋公園，均已運營逾十年，在公司現有的主題公園中相對成熟。四個主題公園直至2019年(包括該年)每年均產生穩定的現金流。然而隨着中國旅遊行業的發展，四個主題公園所涵蓋的相關市場出現替代性競爭對手，表明需要增加更多投資及升級改造。
自2020年初COVID-19疫情爆發以來，公司一直遭遇高額債務及持續增加的虧損。董事認為，以相對有利的市價出售目標公司將產生一筆可觀的現金，可用於償還若干債務，此舉降低餘下集團的資產負債率並維持餘下集團的經營。 公司股份已自2021年10月15日上午九時正起暫停買賣，有待刊發該公佈。公司已向聯交所提出申請自10月18日上午九時正起恢復股份買賣。
