濮陽惠成(300481.SZ)：高管親屬短線交易及致歉
格隆匯10月17日丨濮陽惠成(300481.SZ)公佈，公司董事會近日獲悉，公司副總經理王國慶的父親王效坤於2021年10月12日買賣公司股票，構成短線交易的行為。公司知悉後第一時間對該事項進行了核實，現就有關事項公吿如下：
經核查王效坤的證券賬户交易記錄，股票交易明細具體如下：
截止公吿披露日，王效坤持有公司股票37073股。由於王效坤短線交易未產生收益(賣出均價為20.2元/股，買入均價為20.6元/股)，此次短線交易不存在需上繳公司的收益。
上述交易行為構成以下違規行為： 違反了《證券法》第四十四條規定：“上市公司、股票在國務院批准的其他全國性證券交易場所交易的公司持有百分之五以上股份的股東、董事、監事、高級管理人員，將其持有的該公司的股票或者其他具有股權性質的證券在買入後六個月內賣出，或者在賣出後六個月內又買入，由此所得收益歸該公司所有，公司董事會應當收回其所得收益。前款所稱董事、監事、高級管理人員、自然人股東持有的股票或者其他具有股權性質的證券，包括其配偶、父母、子女持有的及利用他人賬户持有的股票或者其他具有股權性質的證券。”王效坤先生的交易行為違反了上述規定，構成短線交易。
此次短線交易系王效坤根據二級市場的判斷做出的自主投資行為。王國慶的父親王效坤買賣公司股票時，沒有獲悉公司2021年三季度業績預吿或2021年三季度報吿的財務數據，不存在因獲悉內幕信息而交易公司股票謀求利益的情形。
經向公司副總經理王國慶瞭解，王國慶事先並不知曉上述交易，不存在因獲悉內幕信息而交易公司股票的情況。王國慶及王效坤已認識到上述違規交易的嚴重性，就此對公司和市場帶來的不良影響，向公司及廣大投資者致以誠摯的歉意。王國慶承諾將進一步認真學習相關法律法規，規範自身及親屬買賣公司股票的行為，自覺維護證券市場秩序。
