精熙國際(02788.HK)獲亞洲光學溢價約54.4%私有化 18日復牌
格隆匯10月15日丨精熙國際(02788.HK)公吿，於2021年10月15日，要約人Asia Optical International Ltd.要求董事會向計劃股東提呈建議事項，建議以該計劃方式將公司私有化，倘建議事項獲批准及實施，將涉及(i)註銷及剔除計劃股份，作為代價，向於計劃記錄日期名列股東名冊的計劃股東支付註銷價；(ii)註銷及剔除後，公司已發行股本將透過按面值向要約人發行入賬列作繳足的股份而同步增至其原先的數額。
該計劃將根據公司法第86條以協議安排的方式進行。每股計劃股份註銷價0.88港元，較10月6日收市價0.57港元溢價約54.4%。
於該計劃生效後，所有計劃股份將被註銷及剔除，而計劃股份的股票此後將不再具有股權文件或憑證的效力。緊隨該計劃生效後，公司將根據上市規則第6.15(2)條向聯交所申請撤回股份在聯交所的上市地位。全部股份從聯交所除牌時或之後，台灣存託憑證亦將於台灣證券交易所終止上市。
建議事項的理由及裨益：(i)為計劃股東提供溢價變現其投資的良機；(ii)股份的低企交易流通性；(iii)成本及開支高於維持公司上市地位所帶來的利益。近年來，公司並無成功利用其香港上市地位進行任何重大對外股集資活動。預期上市地位在短期內不會為公司帶來任何利益。然而，要約人認為，維持上市地位將涉及行政、合規及其他上市相關成本及開支，而該等成本及開支已不再合理。實施建議事項後，預期公司將大幅減少為維持其於香港及台灣的上市地位及遵守監管規定而須投入的行政成本及管理資源。
據悉，要約人為於英屬處女羣島註冊成立的有限公司，其主要業務為(i)投資控股；及(ii)進出口及買賣光學及光電產品。於本公吿日期，要約人由亞洲光學全資擁有，亞洲光學為於台灣註冊成立的有限公司，其股份於台灣證券交易所上市，股份代號為3019。亞洲光學連同其附屬公司主要從事製造、設計及銷售(i)光學元件，(ii)影像感測器，(iii)光電產品，及(iv)光電元件。於本公吿日期，亞洲光學並無控股股東。於本公吿日期，公司執行董事賴以仁先生及非執行董事吳淑品女士分別於亞洲光學已發行股本約12.07%及0.13%中擁有權益。
於實施建議事項後，要約人擬令集團繼續經營其現有業務。除於集團日常業務過程中進行者外，要約人無意對集團的業務作出任何重大變動，包括重新調配固定資產或對集團僱員的持續聘用作出任何重大變動。要約人將繼續監察集團的表現，並就集團及其業務實施適當策略。
此外，公司已向聯交所申請於2021年10月18日上午九時正起恢復股份在聯交所買賣。
