永福股份(300712.SZ)：共同實控人的一致行動關係擬到期解除 實控人擬變更為林一文
格隆匯10月15日丨永福股份(300712.SZ)公佈，公司控股股東為福州博宏投資管理有限公司(“博宏投資”)、福州永福恆誠投資管理股份有限公司(“恆誠投資”)和福建省永福博發投資股份有限公司(“博發投資”)，合計直接持有永福股份46.89%的股份，其中，博宏投資、恆誠投資、博發投資分別持有永福股份比例為25.3621%、19.4276%、2.1036%。恆誠投資和博發投資系永福股份的員工持股平台，博宏投資系博發投資的全資子公司。《一致行動協議》到期前，林一文、季徵南、王勁軍、宋發興、錢有武、卓秀者、陳強、盧慶議作為永福股份的共同實際控制人通過博宏投資、恆誠投資、博發投資合計控制公司46.89%的股份。
公司的實際控制人林一文、季徵南、王勁軍、宋發興、錢有武、卓秀者、陳強、盧慶議於2016年3月10日共同簽署了《一致行動協議》，約定協議有效期為自該協議簽署之日起至永福股份股票上市之日起滿 48個月時終止；有效期期滿，如各方無異議，自動續期三年。永福股份首次公開發行的股票於2017年10月31日起在深圳證券交易所創業板上市，根據協議約定，公司共同實際控制人的一致行動關係於2021年10月30日到期。公司於近日收到公司實際控制人林一文、季徵南、王勁軍、宋發興、錢有武、卓秀者、陳強、盧慶議共同出具的《關於不再續期一致行動協議的確認函》，確認一致行動協議於2021年10月30日到期後不再續簽，各方的一致行動關係到期解除。
一致行動關係到期解除後，林一文、季徵南、王勁軍、宋發興、錢有武、卓秀者、陳強、盧慶議不再為公司的共同實際控制人，各自分別持有博宏投資、恆誠投資、博發投資的股權比例保持不變；控股股東博宏投資、恆誠投資、博發投資持有公司的股份數量和比例保持不變，仍為公司的控股股東；公司實際控制人由林一文、季徵南、王勁軍、宋發興、錢有武、卓秀者、陳強、盧慶議變更為林一文。
