厚普股份(300471.SZ)：擬與子公司、實控人及香融創投共同出資認繳厚普基金合夥企業的出資額
格隆匯10月15日丨厚普股份(300471.SZ)公佈，公司於2021年10月15日召開了第四屆董事會第十三次會議及第四屆監事會第十一次會議，會議審議通過了《關於簽署投資基金合夥企業合夥協議暨關聯交易的議案》，會議同意公司與公司全資子公司成都厚普股權投資管理有限公司(“成都厚普股權公司”)、公司實際控制人、董事長王季文、成都市香融創業投資有限公司(“香融創投”)共同出資認繳成都厚普清潔能源股權投資基金合夥企業(有限合夥)(“厚普基金合夥企業”)出資額，並同意與交易各方籤署《成都厚普清潔能源股權投資基金合夥企業(有限合夥)合夥協議》。
香融創投為國有獨資企業，已對該事項按國資相關規定履行完必要的投資決策手續。
交易各方於2021年10月15日在成都市簽署了《成都厚普清潔能源股權投資基金合夥企業(有限合夥)合夥協議》。 協議約定，厚普基金合夥企業總認繳出資額擬變更為16660萬元，其中公司作為有限合夥人認繳出資4900萬元，佔總認繳出資額的29.41%；成都厚普股權公司作為普通合夥人認繳出資100萬元，佔總認繳出資額的0.60%；王季文作為有限合夥人認繳出資5000萬元，佔總認繳出資額的30.01%；香融創投作為有限合夥人認繳出資6660萬元，佔總認繳出資額的39.98%。
有限合夥企業主要以股權投資的方式投資，投資的標的企業行業範圍如下： (1)氫能產業：圍繞氫能制氫、儲運氫、加氫、用氫產業鏈中的核心技術及關鍵企業。投資氫能產業的金額不低於基金總實繳規模的70%。(2)清潔能源產業。(3)高端製造產業。(4)工業信息產業。(5)軌道交通產業。(6)航空航天產業。(7)出於保值目的，對尚未進行投資的閒置資金進行管理，合夥企業的全部現金資產，包括但不限於待投資、待分配及費用備付的現金，閒置期間可用於銀行存款類產品、貨幣市場基金等低風險的金融產品以增加企業收益(“閒置資金投資”)。
此次公司與王季文、成都厚普股權投資管理有限公司、成都市香融創業投資有限公司共同出資認繳成都厚普清潔能源股權投資基金合夥企業的出資份額，將有利於促進基金合夥企業資金的募集，通過公司與合作方共同投資的方式進行合作，由各方整合團隊、資金、區域市場等優勢，以儘早發揮其投資平台的作用，利用資本市場實現公司新的利潤增長點。
