紅星美凱龍(01528.HK)訂立若干協議，以規管基金及類REITS計劃的第二期的管理
格隆匯10月15日丨紅星美凱龍(01528.HK)宣佈，公司於2021年10月15日訂立若干協議("第二期協議")，以規管基金及類REITS計劃之第二期的管理，有關詳情載列如下。截至公吿日期，類REITS計劃之第二期並未建立。
2021年10月15日，公司、紅橋項目公司、河西項目公司、煙台紅星、高和資本(作為基金管理人)與公司的直接全資附屬公司上海紅星管理訂立委託經營管理合同，為期八年，據此，公司應透過上海紅星管理向家居商場提供管理服務。於委託經營管理合同期限內，倘家居商場未能達到指定經營現金流量淨額目標，公司須補足任何差額；同時，倘家居商場超過該等目標並符合其他相關要求後，公司將收取超額部分的70%作為冠名委管費。
於2021年10月15日，公司、基金的間接全資附屬公司西藏暢星、煙台紅星、紅橋項目公司、河西項目公司、高和資本與渤海匯金(作為類REITS計劃之第二期的管理人)訂立資產收購協議，據此，在渤海匯金於類REITS計劃之第二期的出售階段出售類REITS計劃之第二期任何該等標的資產情況下，公司將保留優先購買權以收購任一標的資產。公司應根據資產收購協議條款酌情釐定是否行使該權利。
於2021年10月15日，公司與渤海匯金訂立流動性支持協議，據此，在類REITS計劃之第二期約定的開放退出期間，若存在部分申請開放退出並經確認的優先級資產支持證券未能通過渤海匯金(作為類REITS計劃之第二期的管理人)的撮合完成開放退出的，公司應買入該等優先級資產支持證券。截至公吿日期，鑑於冠名委管費與家居商場的經營現金流量淨額掛鈎，故公司未能確定及提供其將收取的相關費用的確切金額。此外，公司亦未能確認任何有關補足付款及╱或流動性支持責任，因為補足付款及╱或流動性支持責任未必會觸發。
公司擬與若干第三方訂立有限合夥協議，並由合夥企業認購類REITS計劃之第二期的次級資產支持證券。此外，公司還將訂立差額補足協議，據此，優先級有限合夥人於合夥企業存續期間通過期間分配實現的投資收益未達到根據有限合夥協議計算的投資收益目標金額的，公司向優先級有限合夥人進行差額補足。截至公吿日期，有限合夥協議及差額補足協議尚未簽署。
