北控清潔能源集團(01250.HK)訂立重組協議 將尋求北清智慧直接上市 18日復牌
格隆匯10月15日丨北控清潔能源集團(01250.HK)公吿，於2021年9月24日，公司間接全資附屬公司天津富清及其他北清智慧股東與中電電機及現有中電電機股東訂立重組協議，據此：(i)中電電機將向待出售中電電機附屬公司轉讓其全部資產及負債（中電電機的保留資產除外），並將使用待出售中電電機附屬公司的60%股權置換天津富清所持有的北清智慧的3.11%股權。天津富清將以現金代價人民幣2.54億元購買待出售中電電機附屬公司的餘下40%股權。
(ii)天津富清及其他北清智慧股東將以人民幣118.77億元的價格向中電電機出售餘下北清智慧股權（相當於北清智慧的96.89%股權），代價將由中電電機通過向天津富清及其他北清智慧股東各自發行代價股份的方式支付。
及(iii)現有中電電機股東，將按代價每股中電電機股份人民幣12.19元轉讓其持有的3130.4萬股現有中電電機股份，相當於按總代價約人民幣3.82億元向天津富清轉讓其於中電電機的13.31%股權，而天津富清將以促使中電電機向現有中電電機股東或現有中電電機股東指定的代名人轉讓待出售中電電機附屬公司的60%股權的方式支付有關代價。現有中電電機股東亦將以現金代價人民幣2.54億元向天津富清收購待出售中電電機附屬公司的餘下40%股權。
待建議重組完成後，北清智慧將成為中電電機的全資附屬公司，而天津富清將成為中電電機的控股股東，持有中電電機經配發及發行代價股份擴大後的約68.55%股權，以及現有中電電機股東將持有待出售中電電機附屬公司的全部股權。因此，中電電機將成為公司的間接非全資附屬公司，專注於光伏發電及風力發電業務。因此，建議重組完成後，光伏發電及風力發電業務的財務業績將繼續併入集團財務報表。
天津富清已於2021年9月24日與中電電機訂立履約承諾及補償協議，據此，天津富清已承諾北清智慧於履約承諾期間（即2022年、2023年及2024年三個財政年度）的累計淨利潤（經扣除非經常性損益）將不會低於約人民幣32億元（即履約承諾金額）。
北清智慧為一間於中國成立的有限公司及公司間接非全資附屬公司，其主要於中國從事投資及開發光伏發電業務及風力發電業務。於本公吿日期，北清智慧分別由集團及其他北清智慧股東持有約80.24%股權及約19.76%股權。
公司表示，建議重組將使得北清智慧（將仍為公司非全資附屬公司）能夠實現於上交所上市。董事會認為，建議重組將使得市場能夠積極評估公司的內在價值，併為集團提供額外籌資平台及擴大股東基礎，有利於集團的長期發展。公司已考慮尋求北清智慧在中國證券交易所直接上市。選擇中電電機的原因為其整體市值不高，公司將能確保於建議重組完成後獲得重組實體的控股權。
此外，公司已向聯交所提出申請自2021年10月18日上午9時正起恢復股份買賣。
