永和股份(605020.SH)：擬推2021年股票期權與限制性股票激勵計劃
格隆匯10月12日丨永和股份(605020.SH)公佈2021年股票期權與限制性股票激勵計劃(草案)，本激勵計劃擬向激勵對象授予權益總計594.00萬股，涉及的標的股票種類為人民幣A股普通股股票，約佔本激勵計劃草案公吿日公司股本總額26667.00萬股的2.23%。
其中首次授予475.70萬股，約佔本激勵計劃公吿時公司股本總額的1.78%，約佔本激勵計劃擬授予權益總數的80.08%；預留授予118.30萬股，約佔本激勵計劃公吿時公司股本總額的0.44%，約佔本激勵計劃擬授予權益總數的19.92%。預留部分未超過本次擬授予權益總額的20%。授予情況具體如下：
(一)股票期權激勵計劃：公司擬向激勵對象授予198.00萬份股票期權，涉及的標的股票種類為人民幣A股普通股股票，約佔本激勵計劃草案公吿日公司股本總額的0.74%，其中首次授予158.5667萬份股票期權；預留授予39.4333萬份股票期權。
(二)限制性股票激勵計劃：公司擬向激勵對象授予396.00萬股限制性股票，涉及的標的股票種類為人民幣A股普通股股票，約佔本激勵計劃草案公吿日公司股本總額的1.48%。其中首次授予317.1333萬股限制性股；預留授予78.8667萬股限制性股票，約佔本激勵計劃公吿時公司股本總額的0.30%。
本激勵計劃首次授予的股票期權的行權價格為32.35元/份，首次授予的限制性股票的授予價格為20.22元/股。
本激勵計劃首次授予的激勵對象總人數為334人，包括公司公吿本激勵計劃草案時在公司(含合併報表子公司)任職的董事、高級管理人員、中層管理人員、核心技術、業務、管理骨幹及董事會認為需要激勵的其他員工。
本激勵計劃有效期為股票期權首次授予之日起和限制性股票首次授予登記完成之日起至所有股票期權行權/註銷和限制性股票解除限售/回購註銷完畢之日止，最長不超過60個月。
