TCL科技(000100.SZ)：TCL華星以24.54億元摘牌獲得蘇州華星光電技術30%股權
格隆匯10月11日丨TCL科技(000100.SZ)公佈，為進一步增強公司在半導體顯示產業的領先優勢，加速產線和產品結構的優化，提高數字化運營、供應鏈管控等通用能力和系統的協同賦能，提升盈利水平和股東價值回報，公司子公司TCL華星光電技術有限公司(“TCL華星”)於近日通過蘇州市公共資源交易中心以245,401.23萬元人民幣公開摘牌獲得蘇州工業園區國有資本投資運營控股有限公司持有的蘇州華星光電技術有限公司(“蘇州華星”或“交易標的”)30%股權，並與蘇州工業園區國有資本投資運營控股有限公司簽署了《股權轉讓協議》。
公司收悉，蘇州華星已於近日完成上述事項的工商變更登記工作，蘇州華星成為TCL華星的全資子公司。
公司專注高科技、重資產、長週期的國家戰略產業，聚焦於半導體顯示、半導體光伏和半導體材料的核心主業發展。公司子公司TCL華星是全球半導體顯示龍頭，在全球半導體顯示產業鏈中佔據重要地位；子公司天津中環半導體股份有限公司是光伏領域的全球領先者，在半導體材料領域建立了相對優勢。
近年來，以運營和管理效率、產線代際以及規模效應驅動的半導體顯示產業國別轉移及頭部集中趨勢加速，中國企業競爭優勢凸顯，公司半導體顯示業務開啟從效率、產品到技術、生態的全面領先階段。TCL華星通過內生增長及合理成本的外延式併購，持續提升產能規模和市場份額，邁向全球領先。
此次交易完成後，蘇州華星成為TCL華星的全資子公司。目前全球智屏業務平穩增長，電競、特顯市場加速滲透帶動顯示器業務蓬勃發展，公司將充分激發蘇州華星在客户、技術方面的積累，進一步增強TCL華星在曲面電競顯示屏、特顯等市場的競爭優勢，成為全尺寸領域的龍頭。同時，通過吸收內化蘇州華星智能化運營的經驗，TCL華星整體高效週轉、精益製造的運營能力得以鞏固增強，並進一步加強對蘇州華星的管理與賦能，通過極致產能、供應鏈優化和管理效率提升，深度挖掘蘇州華星的盈利水平，增強TCL華星行業地位和綜合競爭力，鞏固行業領先的效率效益優勢，有利於提高上市公司的盈利水平和股東回報。
