百融雲-W(06608.HK)：擬收購北京眾聯享付52%的股權 豐富金融服務供應商的產品線
格隆匯10月10日丨百融雲-W(06608.HK)公佈，2021年10月8日，公司間接全資附屬公司百融睿誠信息科技有限公司，擬向賣方收購目標公司北京眾聯享付科技股份有限公司合共約52.00%已發行股份，總代價約人民幣1.56億元。
賣方包括北京數知、北京大有燕園投資管理中心(有限合夥)、嘉興藍海投資合夥企業(有限合夥)、陳麗、王崑、趙敏、鄭延玲、李程、高洪書、張徵宇、向勤及李晨曦。
完成後，公司將擁有目標公司約52.00%股權及目標公司的財務業績將綜合入賬至公司的綜合財務報表。
目標公司乃為於2012年在中國成立的股份有限公司。其主要為以銀行為主的金融服務供應商提供智能運營綜合解決方案，為中國業內領先的全面解決方案服務商，助力銀行進行智能化用户運營。其自研連接銀行、用户、場景、商户的智能路由分發平台及一站式的雲權益SaaS平台。按照其權益分發規模收取一定比例的費用作為其技術服務費，並記為其毛利。憑藉其科技能力及平台路由能力，目標公司自主研發打造智能運營SaaS平台，先後榮獲高新技術企業、專精特新企業、瞪羚企業等稱號及榮譽，以表彰其產業及技術優勢。目標公司自成立以來，已與各大國有及大型股份制商業銀行、中國銀聯及頭部互聯網企業建立戰略合作伙伴關係，在中國有超過10家全國性銀行為其付費客户。
公司是中國領先的人工智能SaaS雲平台，主要於境內從事SaaS數據分析、精準營銷及保險分銷服務。毋庸置疑，收購事項將有助於公司推廣其智能運營，結合目標公司領先的一站式雲權益SaaS智能運營平台能力，豐富金融服務供應商的產品線並進一步提升金融服務供應商的數字化運營及線上化轉型，如促進在三方支付平台的支付活動，從而提高客户的高黏性及吸引新客户，以實現經濟效益。鑑於數字經濟的迅速發展及客户需求的轉變，公司認為有必要升級其用户運營。因此，收購事項被視為拓展業務版圖及完善公司數字化服務體系的契機。
