貝森金融(00888.HK)：獲喜昌通知 涉及就押記股份的共同及各別接管人的委任
格隆匯10月10日丨貝森金融(00888.HK)公佈，茲提述由喜昌環球有限公司(為要約人，“喜昌”)及公司(為受要約人)聯合刊發日期為2017年11月21日的綜合文件，內容有關由創越融資有限公司(為要約人的財務顧問)代表喜昌(為要約人)就公司的全部已發行股份(喜昌及其一致行動人士已擁有或同意收購的該等股份除外)，提出無條件強制性現金要約。
按綜合文件所披露，日期為2017年5月17日的投資協議由喜昌、貝森資本金融控股有限公司(為喜昌的唯一股東，“貝森資本”)及Fruitful Worldwide Limited(為喜昌的財務投資者，“Fruitful Worldwide”)。根據投資協議，其中包括Fruitful Worldwide認購喜昌的5.5億股A類優先股，該類優先股(i)不具有投票權；(ii)為非參與優先股；(iii)賦予持有者季度固定股息的權利。為保證貝森資本及喜昌於投資協議項下的責任，其中包括，由喜昌(為押記人)就728,127,410股股份抵押予Fruitful Worldwide(為承押人)訂立股份押記。喜昌及Fruitful Worldwide同意於股份押記項下的股份數目隨後於2018年減少至680,508,005股股份(“押記股份”)。
2021年10月8日，公司獲喜昌通知，該公司收到一封信函有關羅兵鹹永道有限公司的莊日傑及温曉陽就押記股份的共同及各別接管人(“接管人”)的委任。按喜昌提供的資料，接管人獲Fruitful Worldwide委任是由於喜昌根據投資協議的條款未支付季度固定股息，構成根據股份抵押項下的違約事件，導致股份抵押項下的抵押品即時被強制執行。
公吿日期，押記股份為全部由喜昌持有的股份(即佔全部已發行股份約47.86%)。
據董事作出一切合理查詢後所深知，(a)喜昌的全部普通股份由貝森資本全資及實益擁有，而該公司由徐沛欣(為執行董事及控股股東)全資及實益擁有；及(b)Fruitful Worldwide由中國華融國際控股有限公司全資擁有，而該公司由中國華融資產管理股份有限公司全資擁有。
按公司目前可得的資料及經審閲公司為立約人的全部重大業務合約及公司為借款人的財務文件，接管人的委任(i)不構成該等合約的違約事件或在其他情況下授予對方有權提早終止協議；及(ii)由於股份押記項下的抵押品並非為擔保公司及其附屬公司(統稱“集團”)的任何義務或由集團借入的任何貸款而訂立，接管人的委任不涉及任何可能違反公司貸款契諾的行為。此外，公吿日期，集團概無債務由喜昌擔保。因此，董事認為接管人的委任對公司財務及經營狀況無存在任何重大不利影響。
公司現正就有關接管人的委任尋求法律意見，包括根據上巿規則及／或公司收購、合併及股份回購守則(如有)的影響。
