星宇控股(02346.HK)擬9800萬元收購成都邦瑞創達科技全部股份
格隆匯10月8日丨星宇控股(02346.HK)公吿，於2021年10月8日，公司、買方寧德市星利企業管理有限公司(公司的間接全資附屬公司)、賣方(王東、陸偉)及目標公司成都邦瑞創達科技有限公司訂立買賣協議，據此，其中包括，買方已有條件同意購買而賣方已有條件同意出售銷售權益(相當於目標公司股權的100%)，代價為人民幣9800萬元。
於公佈日期，目標公司由賣方A擁有91%及賣方B擁有9%。完成後，目標公司將成為公司的附屬公司及目標公司的財務報表將綜合入賬至集團。
目標公司為一間於中國註冊成立的有限公司，位於四川成都，主要從事加工稀土金屬，包括鐠、釹、鋱及鏑等。於公佈日期，目標公司由賣方A及賣方B分別擁有91%及9%。賣方A為中國公民及一名商人。賣方B為中國公民及一名商人。
集團主要從事燒結釹鐵硼磁性材料的設計、開發、生產及銷售。作為董事會定期審查及董事會擴展其收入來源策略的一環，董事會不時探索多元化發展集團業務的可能性。鑑於全球減少碳排放及實現"碳中和"的趨勢，董事相信稀土金屬的需求將繼續增長，因為它們是許多高科技環保技術產品的原材料，包括製造風力渦輪機的磁鐵及混能汽車的電池、生產電視機及節能燈以及高性能陶瓷。
目標公司主要從事加工鐠、釹、鋱及鏑等稀土金屬業務。於2019年2月，目標公司達成中華人民共和國國家標準GB/T19001-2016idtISO9001:2015品質管制體系要求，並取得編號為ISC-Q-2019-0215的品質管制體系認證，具備合金磁性材料生產的認證。於公佈日期，目標公司合共持有16項有關用於加工金屬及合金的設備及裝置的專利。
收購事項為集團提供機會，可迅速擴展至一個具有增長潛力的領域，併產生多元化收入及額外現金流，而毋須產生啟動成及耗費時間。目標公司擁有加工設備及設施、技術知識、相關許可及批准、供應商網絡、客户基礎及其業務管理團隊。此外，賣方A及賣方B(作為高級管理層成員)同意在完成後繼續留在目標公司，以確保業務在完成後有效運作。
董事認為，收購事項將使集團能使公司的現有業務更為完善及加以利用，並且提高集團在磁性材料加工方面的技術能力，特別是考慮到集團提供的產品及稀土金屬均可用於高科技環保技術產品。完成後，集團和目標公司通過在包括但不限於交流技術知識、銷售渠道和客户基礎等方面的分享和合作而能夠互相受惠，從而為集團和目標公司的現有業務創造協同效應。
