龍湖集團(00960.HK)擬21.6億元收購百佑科技、重慶佑佑和重慶汀谷 以豐富醫養業務 並加速數字化能力建設
格隆匯9月29日丨龍湖集團(00960.HK)發佈公吿，於2021年9月29日，公司附屬公司分別與賣方訂立了三份股權轉讓協議：(1)收購事項一：公司間接全資附屬公司保裕作為買方有條件的同意收購且GIL作為賣方有條件地同意出售百佑科技的出售股份，佔百佑科技總股本的100%，代價約為人民幣10.80億元；同時，百佑科技與重慶小飛象、重慶小飛象的股東訂立了合約安排，以使百佑科技能夠控制重慶小飛象的100%股份，並取得由此產生的經濟利益。
收購事項二：公司間接全資附屬公司椿山萬樹企業管理作為買方有條件的同意收購且深圳前海錦粼池作為賣方有條件地同意出售重慶佑佑的出售股份，佔重慶佑佑總股本的70%；同時，椿山萬樹企業管理與重慶佑佑、重慶佑佑的其他股東訂立了合約安排，以使椿山萬樹企業管理能夠控制重慶佑佑的另外30%股份，並取得由此產生的經濟利益；取得上述對重慶佑佑100%股權控制的總代價約為人民幣7.05億元。
收購事項三：公司間接全資附屬公司東冠作為買方有條件的同意收購且豐樺有限作為賣方有條件地同意出售重慶汀谷的出售股份，佔重慶汀谷總股本的100%，代價約為人民幣3.75億元。
百佑科技為中國註冊成立的有限責任公司，是一家面向多空間場景提供科技服務的公司，其主要通過智能硬件、雲技術、大數據及人工智能的創新科技，打造融合地產企業傳統信息化系統、設備設施物聯、智能場景物聯於一體的數字企業解決方案，助力數字化管理與智能化服務建設，接駁更多空間場景服務能力，持續賦能集團。於本公吿日期，百佑科技乃由GIL全資擁有。
重慶佑佑為中國註冊成立的有限責任公司，是重慶醫科大學附屬兒童醫院醫聯體醫院，是一家專注於向兒童提供安全、便捷、高效、舒適的醫療服務和健康管理服務的高品質婦兒專科醫院。於本公吿日期，重慶佑佑為深圳前海錦粼池的全資附屬公司。重慶汀谷為中國註冊成立的有限責任公司，主要持有重慶佑佑所在的重慶市兩江新區嘉蓉路999號1、2、3幢建築物。於本公吿日期，重慶汀谷乃由豐樺有限全資擁有。
公司表示，收購重慶佑佑和重慶汀谷有利於豐富集團已有的醫養業務，開拓婦兒醫療市場，並提供更多元化的服務類型。本次收購符合國家鼓勵社會辦醫、優化生育等政策背景。集團與重慶佑佑未來將持續通過業務協同，實現客户引流與服務賦能，提升服務體驗及粘性，亦能優化重慶佑佑的運營表現。
收購百佑科技有利於集團引入智能硬件及SaaS服務綜合解決方案，加速集團數字化能力的搭建，助力降本提效。在國家政策支持下，有助於集團孵化出專精特新的業務板塊，協助集團不斷將人工智能技術與智能硬件在各航道業務場景中融合，從而更大程度地激發各航道、各業務場景之間的協同效應，形成發展新合力。
