海能達(002583.SZ)：控股股東擬轉讓10%的股份予深圳投控共贏股權投資基金
格隆匯9月29日丨海能達(002583.SZ)公佈，公司控股股東陳清州擬轉讓其持有公司的無限售流通股183,957,300股(佔公司總股本的10.00%)給深圳投控共贏股權投資基金合夥企業(有限合夥)(“共贏基金”)。
此次權益變動前，陳清州持有公司股份948,803,357股，持股比例為51.58%，為公司控股股東及實際控制人；陳清州及其一致行動人共持有公司股份966,403,357股，持股比例為52.53%；此次權益變動後，陳清州持有公司股份764,846,057股，持股比例為 41.58%，陳清州及其一致行動人持有公司股份782,446,057 股，持股比例為42.53%，公司控股股東及實際控制人未發生變化。
此次權益變動前，共贏基金未持有公司任何股份；此次權益變動後，共贏基金持有公司股份183,957,300股，佔公司總股本的10.00%。

通過此次股權轉讓將積極促成公司與深投控達成戰略合作，積極發揮雙方在粵港澳大灣區信息產業建設中的協同作用。首先，本次股權轉讓有利於推動公司與深投控及其下屬企業在智慧科技園區專網建設及運營、5G 行業專網應用、城市公共安全等領域展開合作；其次，將藉助深投控的金融服務資源，為上市公司提供金融支持；其三，雙方將通過共同設立產業投資基金、共同投資優勢項目、產業園區落户及金融配套支持等方式進行協同，以促進和推動公司在產業鏈的佈局和延伸，推動公司在 5G 行業專網領域的拓展，進一步提升公司的國際競爭力，推動企業價值成長。
通過此次股份轉讓將為公司引進重要戰略股東，優化公司的股東結構，提升公司治理能力；另一方面，轉讓所得資金將部分用於歸還大股東質押借款，降低大股東質押率，有助於增強市場信心，促進公司健康良性發展。
