北京燃氣藍天(06828.HK)副主席鄭明傑涉多宗可疑交易 可能導致公司潛在經濟損失約15.56億元
格隆匯9月29日丨北京燃氣藍天(06828.HK)發佈公吿，根據內部審閲，董事會逐漸發現，自2014年起擔任執行董事即董事會主席並於2020年7月調任為非執行董事即董事會副主席的鄭明傑先生似乎未能履行其身為董事的受信責任，彼涉及多宗可能導致集團重大經濟損失的可疑交易。鄭先生作為非執行董事及董事會副主席的職務已自2021年1月16日起暫停，直至另行通知。公司股份自2021年1月18日起暫停買賣。
於2021年9月28日，法證會計師已敲定及向特別委員會提交法證調查報吿。特別委員會已審閲法證調查報吿，並於2021年9月29日將該報吿（連同特別委員會的意見）提交董事會批准。法證會計師已就管理層識別並向特別委員會報吿的22宗可疑交易進行法證調查。公司注意到，鄭先生牽涉集團於2015年1月1日至2020年12月31日期間進行的所有已審閲交易。
根據調查，法證會計師發現，22宗已審閲交易中大部分交易均透過合併及收購活動以及投資活動進行，而集團須就此付款、匯款、轉賬及╱或墊付貸款。根據法證調查報吿，法證會計師將該等已審閲交易分類為(1)股權投資，當中涉及收購及出售股權；(2)投資資金及債務工具；及(3)其他資產挪用。根據集團會計記錄，涉及該等已審閲交易的款項約為人民幣27.03億元，而法證會計師發現已審閲交易可能導致集團潛在經濟損失約人民幣15.56億元。根據所得資料，懷疑已審閲交易主要由於鄭先生透過多起事件凌駕於內部控制之上而起。
董事會已審閲法證調查報吿的內容，認為法證調查報吿已充分處理涉及該事件的問題。董事會亦已審閲特別委員會作出的該等建議，並同意特別委員會對調查的意見，即已審閲交易及集團蒙受的任何損失實質源於鄭先生未能履行其受信責任。董事會亦同意特別委員會的觀察，認為集團的內部控制並未得到適當的執行、審閲及更新，或存在缺陷。董事會已議決立即執行特別委員會提出的該等建議。
