林洋能源(601222.SH)：與華能江蘇將在存量光伏發電項目收購、增量光伏項目及儲能項目開發合作展開全方位合作
格隆匯9月27日丨林洋能源(601222.SH)公佈，為了明確合作主體，固化雙方工作進展，明確合作內容，2021年9月27日，公司作為乙方，與華能江蘇能源開發有限公司(“華能江蘇”或“甲方”)在南京以書面方式簽署了投資合作框架協議。此次協議簽訂後，公司於2020年3月7日與江蘇華能簽署的光伏項目合作框架協議不再執行。
為充分利用各方資源優勢，華能江蘇擬與公司及關聯公司擴大在光伏發電與儲能項目上的投資和併購合作，實現共同發展、互利共贏的目的。根據相關法律、法規的規定，雙方經友好協商，達成本框架協議，以資共同遵守。主要內容如下：
1、存量光伏發電項目收購方案
(1)乙方持有的600MW光伏電站資產，電站資產分屬相對應的項目公司(“項目公司”)。經甲方對項目進行法律盡職調查、財務審計及評估、投資決策等程序後，如光伏項目符合甲方要求，甲方同意收購相關項目公司90%股權，確保2021年底完成項目移交容量不少於267.23MW。
(2)光伏項目全部投資內部收益率應不低於同時期中國華能集團有限公司要求的新能源收購項目收益率等標準。
(3)在依法合規前提下，同等條件下優先選擇乙方承擔目標項目的運維工作並保證項目發電量，具體以運維合同約定為準。
2、增量光伏項目開發合作
(1)雙方一致同意成立合資平台公司(“合資公司”)，甲方佔股90%、乙方佔股10%，雙方均以貨幣按股比同步出資。
(2)雙方一致同意以合資公司或合資公司設立的項目公司名義在甲方重點佈局地區按甲方技術經濟標準開發大型光伏電站，具體由乙方負責開發項目，甲方以及合資公司做好配合，由合資公司投資建設。2021至2023年，乙方同意在江蘇省(包含但不限於泗洪與啟東整縣開發的光伏電站)、安徽省等地累積開發不少於200萬千瓦的光伏電站。甲方同意該項目在依法合規，在同等條件下，優先選擇乙方或其關聯公司負責EPC建設。
(3)對合資公司所投資項目，甲方同意在依法合規，同等條件下優先選擇由乙方負責所投資項目的運維工作。
3、儲能項目開發合作
雙方同意在啟東成立合資公司，註冊資金10000萬元，甲方出資90%，乙方出資10%，雙方均以貨幣按股比同步出資；通過合資公司在啟東建設80兆瓦/160兆瓦時的儲能共享電站(“啟東儲能共享電站”)，乙方負責電站的相關前期手續辦理，雙方力爭2021年內開工，2022年6月30日前全容量併網運行。在依法合規，同等條件下優先選擇乙方或其關聯公司負責所投資項目的 EPC 和運維工作。
華能江蘇為中國華能全資子公司，此次公司與對方在存量光伏發電項目收購、增量光伏項目及儲能項目開發合作展開全方位合作，將有利於雙方發揮優勢資源，加快推進公司在新能源光伏電站和新能源配套儲能領域的項目投資開發建設以及EPC系統集成和運維業務，有利於減少國補應收賬款、提高資金週轉效率，進一步提升公司的市場影響力和核心競爭力，為公司未來持續穩定發展奠定堅實的基礎，符合公司的長遠發展的戰略規劃以及全體股東的利益。
