康隆達(603665.SH)股價異動 擬收購的丙戊天成目前不涉及碳酸鋰產品的產銷
格隆匯9月27日丨康隆達(603665.SH)公佈股票交易異常波動公吿，公司股票於2021年9月23日、2021年9月24日、2021年9月27日連續三個交易日內日收盤價格漲幅偏離值累計達20%，屬於股票交易異常波動。
公吿披露相關風險提示：
根據中證指數有限公司發佈的證監會行業市盈率顯示，截至2021年9月27日，公司股票滾動市盈率為50.20倍，公司所屬紡織業行業滾動市盈率為17.17倍，公司當前的滾動市盈率高於同行業。
公司本次擬通過增資及轉讓的方式獲得丙戊天成不低於33.33%股權,根據目前談判進度，擬受讓或增資的股權比例不會高於51%，不收購丙戊天成的控制權；具體方式、轉讓金額及轉讓股份比例尚未最終確定，尚需展開全面盡調、評估及談判，能否順利推進存在較大的不確定性。
丙戊天成目前不涉及碳酸鋰產品的生產和銷售。丙戊天成2019年度淨利潤為273.84萬元，2020年度淨利潤為-790.44萬元，2021年上半年淨利潤為1007.51萬元，其經營業績波動較大，存在經營穩定性風險。
越南生產基地建設項目原計劃在2021年年中實現產銷，但受越南疫情爆發的影響，該項目施工進度不達預期；目前越南疫情反覆，項目建設進度和完工時間仍存在較大不確定性。
公司持股51%的控股孫公司易恆網際經營的電子通信設備業務存在部分合同執行異常的情況，存在應收賬款(1503.79萬元)逾期風險、相關存貨(30,962.36萬元)可能無法足額變現的風險。
截至2021年9月27日，“康隆轉債”票面價格溢價169.12%，轉股價值溢價137.81%，存在轉債溢價率和轉股溢價率均較高的情況。截至2021年9月24日，“康隆轉債”的債券餘額僅為4108.3萬元，亦存在較大的被強制贖回風險。
截至2021年9月27日，公司控股股東東大針織及其一致行動人合計質押股份數量佔其持有公司股份總數的41.78%，存在一定質押風險。
