永和股份(605020.SH)股價異動 正籌劃有關股權激勵事項
格隆匯9月27日丨永和股份(605020.SH)公佈股票交易異常波動公吿，公司A股股票於2021年9月23日、9月24日、9月27日連續三個交易日內收盤價格跌幅偏離值累計超過20%，根據《上海證券交易所交易規則》的有關規定，屬於股票交易異常波動情況。
基加利修正案生效日期為2019年1月1日，2021年6月，中國宣佈正式接受該修正案，該修正案將於2021年9月15日對中國生效。如我國出台HFCs削減方案，可能對公司生產經營帶來不利影響。
為建立、健全公司長效激勵機制，吸引和留住優秀人才，目前公司正就有關股權激勵事項進行籌劃，具體的方案仍在擬定中，且實施股權激勵計劃尚需公司董事會、股東大會審議，能否順利實施尚存在不確定性，公司將根據該事項的進展情況及時履行信息披露義務。
經公司自查並向控股股東、實際控制人及其一致行動人書面發函查證，截至公吿披露日，除正在籌劃的股權激勵事項外，確認不存在應披露而未披露的重大事項或重要信息。
相關風險提示：
公司主營業務為氟化學產品的研發、生產、銷售，產業鏈覆蓋螢石資源、氫氟酸、氟碳化學品、含氟高分子材料。氟化工行業具有周期性波動的特徵，行業發展與宏觀經濟形勢及相關下游如空調、汽車、電線電纜等行業的景氣程度有很強的相關性。受上游原材料供應、下游產品市場需求、產品生產能力、環保政策等諸多因素的影響，氟化工行業近年來經歷了較為明顯的週期變化。若未來由於行業週期性波動導致行業低迷，公司未來盈利能力可能受到影響。
公司主要從事氟化工產品的生產和銷售，國家產業政策變動將會影響到公司的生產和經營。近年來國家在產業政策上對氟化工給予了重點扶持，公司一直受益於國家的產業政策。但隨着行業發展和格局的調整、社會環保意識的進一步增加以及化工新產品新技術的推陳出新，不排除我國未來產業政策的變化給公司的發展帶來不利影響。
公司生產所需主要原材料包括螢石、無水氫氟酸、電石、硫酸、三氯甲烷等。其中氟化工的資源基礎是螢石，由於螢石資源的不可再生屬性，我國將其作為一種戰略性資源來保護。雖然公司擁有螢石礦產資源，達到一定程度的自給水平，但公司仍需對外採購。隨着我國從嚴控制螢石開採量，產量增速逐漸放緩。未來若國家對螢石礦產資源的消耗控制不斷加強，以及市場需求變化，未來螢石價格可能持續上漲，從而對公司經營業績造成一定影響。
螢石資源的儲備是公司業務發展的起點和業績增長的基礎。公司目前擁有采礦權2個，探礦權2個，截至2020年末已經探明螢石保有資源儲量達到329.35萬噸礦石量，未來公司還將通過委託專業機構對探礦權進行進一步勘查後申請採礦權。鑑於礦產資源勘查和開發週期長、投入大、複雜性較高、不可控因素較多，因此公司在經營過程中，面臨着礦山資源儲量低於預期的風險。
