天華超淨(300390.SZ)：天宜鋰業擬簽署鋰精礦承購協議之轉讓、承繼和變更契據以及產品購買框架協議
格隆匯9月27日丨天華超淨(300390.SZ)公佈，2021年9月25日，公司第五屆董事會第十七次(臨時)會議、第五屆監事會第十三次(臨時)會議分別審議通過了《關於擬簽署<承購協議之轉讓、承繼和變更契據>暨關聯交易的議案》、《關於擬簽署<產品購買框架協議>暨關聯交易的議案》。
公司於2021年3月30日披露了《關於宜賓市天宜鋰業科創有限公司簽署鋰精礦承購協議的公吿》，公司控股子公司宜賓市天宜鋰業科創有限公司(簡稱“天宜鋰業”)與Dathcom Mining SA(簡稱“Dathcom)及AVZ International Pty. Ltd.,(簡稱“AVZ”或“銷售代理”)簽訂《承購協議》(簡稱“原承購協議”)，就天宜鋰業擬向Dathcom採購鋰輝石精礦，Dathcom指定AVZ作為銷售代理的相關事宜進行約定，原承購協議約定了履行期限、採購產品及數量、採購價格、付款方式、違約和終止等事項。
2021年9月25日，公司實際控制人裴振華控制的蘇州天華時代新能源產業投資有限責任公司(簡稱“天華時代”)與AVZ及Dathcom共同簽署《交易執行協議》，天華時代擬與AVZ合資開發Manono鋰錫項目與相關項目(簡稱“Manono項目”)，天華時代以2.4億美元取得Manono項目24%的股權，上述24%的股權將由Dathcom通過發行新股的方式進行。該次交易完成後，AVZ將在Manono項目中持有51%的控股權益，並維持其作為Manono項目主要開發商的地位，天華時代將在Manono項目中持有24%的權益。作為該次交易的條件之一，天華時代將負責Manono項目生命週期內的鋰輝石精礦承購。
天宜鋰業將與AVZ、Dathcom以及天華時代簽署《承購協議之轉讓、承繼和變更契據》，就天宜鋰業將原承購協議的權利義務轉讓給天華時代，以及天華時代基於投資獲得新的權利義務進行補充約定。同時，天宜鋰業將與天華時代簽署《產品購買框架協議》，就天宜鋰業向天華時代採購鋰精礦事項進行約定。
