中公教育(002607.SZ)：擬轉讓北京中公未來教育科技51%股權予龍湖方 以合作開發北京相關項目
格隆匯9月26日丨中公教育(002607.SZ)公佈，公司為建設在線科技研發中心、線上與線下融合教育示範中心、研發與教學人員融合培訓中心、全國市場垂直一體化響應指揮中心、創新教育總部，進一步提升公司對內與對外的培訓能力，全面引領行業科技、研發、培訓、服務、市場及指揮體系的革新和升級，有力提升品牌形象及競爭壁壘，公司全資子公司北京中公未來教育科技有限公司(“目標公司”)於2020年12月2日競得北京市昌平區沙河鎮七裏渠南北村土地一級開發項目CP00-1804-0002住宅地塊、CP00-1804-0012公建地塊(“目標地塊”)。該地塊位於北京市昌平區沙河鎮，四至為東至回昌路，南至七裏渠南路，西至農學院東路，北至朱辛莊中路，淨佔地面積 37445.056 平方米，地上總建築面積控制規模142,000 平方米。地塊用地性質及用途為R2二類居住用地、F3其他類多功能用地，土地使用權期限為居住70年，商業40年，辦公50年。詳見公司披露的《關於全資子公司競拍取得土地使用權的公吿》。
公司於2021年9月26日召開第五屆董事會第二十二次會議，審議通過了《關於轉讓全資子公司部分股權暨合作開發的議案》，董事會同意轉讓公司全資子公司北京中公未來教育科技有限公司51%股權給北京尚恆吉瑞商業運營管理有限公司(“龍湖方”)。
經雙方友好協商，公司以目標公司實繳註冊資本作為定價依據，確定目標公司51%股權轉讓價為人民幣5100萬元。公司董事會授權公司法定代表人或者授權代表籤署相關協議及辦理相關轉讓手續。同時，龍湖方向目標公司投入股東借款137889.442 萬元，該等借款用於目標公司償還對中公方的借款。
公司通過轉讓全資子公司控股權方式與實力雄厚的龍湖地產旗下公司合作開發標的公司項目，由龍湖方開發住宅地塊，公司的資金、精力集中於主營業務所需的公建項目，加快建設公司在線科技研發中心、線上與線下融合教育示範中心、研發與教學人員融合培訓中心、全國市場垂直一體化響應指揮中心、創新教育總部，將有效提升公司集羣化研發能力、線上線下融合產品規模化生產及普及能力、全國市場垂直一體化快速響應能力和全品類產品的敏捷創新能力，能夠滿足5000多名學員吃住學一體化及線上線下融合培訓，能夠解決30000多名教師和研發人員的研發與教學多輪次集中內訓學習。這一全面融合在線技術的新中心建成將系統提升公司對內與對外的培訓能力，全面引領行業科技、研發、培訓、服務、市場及指揮體系的徹底革新和升級，有力提升品牌形象及競爭壁壘，符合公司長遠發展戰略和全體股東的利益。
