中電電機(603988.SH)：擬進行重大資產置換事項 以探索新業務轉型
格隆匯9月24日丨中電電機(603988.SH)公佈重大資產置換及發行股份購買資產並募集配套資金暨關聯交易報吿書，中電電機將持有的截至評估基準日除保留資產外的全部資產和負債以及一切權利義務作為置換資產轉移至置出資產歸集主體無錫中電科技，並將無錫中電科技60%股權與天津富清持有的北清智慧2.13億股等值股份進行置換；置出資產歸集主體剩餘40%股權由天津富清以現金購買，並在後續股權轉讓交易中將該部分股權轉讓至上市公司股東王建裕與王建凱。
經交易各方友好協商，擬置出資產作價6.36億元；因此，擬置出資產歸集主體60%的股權作價3.816億元。經交易各方友好協商，此次交易中擬購買資產最終作價確定為北清智慧股東全部權益按照資產基礎法確定的評估價值加上評估基準日後北清智慧股東實繳的增資款，即122.58億元。
上述差額118.77億元由上市公司以發行股份的方式向北清智慧的全體股東購買。
此次發行股份購買資產的股份發行價格為10.98元/股(剔除現金分紅影響後為10.10元/股)，不低於定價基準日前20個交易日股票均價的90%。
據此計算，上市公司向北清智慧全體股東發行股份的數量為11.76億股，最終發行數量以上市公司股東大會批准並經中國證監會核准的數量為準。
為提高重組後新注入資產的績效，同時滿足上市公司未來的資金需求，上市公司擬向不超過35名特定投資者非公開發行股份募集配套資金，募集配套資金總額不超過30億元且不超過此次發行股份方式購買資產交易價格的100%，且發行股份數量不超過此次交易發行股份購買資產後上市公司總股本的30%。
此次交易前，上市公司所從事的主要業務是研發、生產和銷售大中型直流電動機、中高壓交流電動機、發電機、電機試驗站電源系統和開關試驗站電源系統等成套設備。
此次交易後，上市公司主營業務將變更為光伏發電項目、風力發電項目的投資、開發、建造、營運及管理。此次交易有利於上市公司探索新業務轉型、尋求新利潤增長，有利於提升上市公司盈利能力和綜合競爭力。
