ST天山(300313.SZ)：公司實控人將由李剛變更為解直錕
格隆匯9月24日丨ST天山(300313.SZ)公佈，公司於近日收到新疆維吾爾自治區昌吉回族自治州中級人民法院(“昌吉州中院”)出具的《執行裁定書》【(2021)新23執149號之二】，具體情況如下：
此前披露，因公司控股股東天山農牧業發展有限公司(“天山農牧業”)向湖州皓輝企業管理諮詢有限公司(“湖州皓輝”)合計11.4億元借款到期未還本付息，湖州皓輝於2021年6月向昌吉州中院申請了強制執行。鑑於天山農牧業及其全資子公司呼圖壁縣天山農業發展有限公司(“呼圖壁農業”)合計持有的公司69,211,312股股份為該筆借款質押物，昌吉州中院於2021年7月發佈司法拍賣公吿，於2021年8月30日-31日實施司法拍賣，由競買人湖州皓輝競買成功。
近日，昌吉州中院出具《執行裁定書》【(2021)新23 執149 號之二】，主要內容如下： (一)天山農牧業持有的上市公司無限售流通股5608萬股、呼圖壁農業持有的上市公司限售流通股1178.4511萬股、天山農牧業持有的上市公司限售流通股134.6801萬股股票歸湖州皓輝所有，自本裁定送達湖州皓輝時轉移。 (二)湖州皓輝可持本裁定書到登記機構辦理相關股票過户登記手續。 (三)解除天山農牧業、呼圖壁農業合計持有的6921.1312萬股股份及其孳息的凍結。 (四)解除廈門國際信託有限公司對天山農牧業、呼圖壁農業合計持有的上市公司6921.1312萬股股份的質押。 (五)解除烏魯木齊市新市區人民法院(2021)新0104 執462號執行裁定書對天山農牧業持有的上市公司363.8691萬股的凍結。
此次權益變動前，天山農牧業和呼圖壁農業合計持有公司股份6921.1312萬股，佔公司總股本的22.11%。
此次權益變動前，湖州皓輝未持有公司股份或股份對應的表決權，湖州皓輝一致行動人華中(天津)企業管理中心(有限合夥)(”華中天津”)持有公司670.58萬股股份，佔公司總股本的2.14%，前述股份處於限售及凍結狀態。
此次權益變動後，天山農牧業和呼圖壁農業不再持有公司股份或股份對應的表決權。
此次權益變動後，湖州皓輝持有公司股份6921.1312萬股，佔公司總股本的22.11%；華中天津仍持有公司6,705,800 股股份，佔公司總股本的2.14%。
此次權益變動後，湖州皓輝及華中天津將合計持有公司24.25%的股份，公司的控股股東將變更為湖州皓輝，公司的實際控制人將由李剛變更為解直錕。
