漱玉平民(301017.SZ)：擬以不超2.88億元收購齊河泰耀100%股權
格隆匯9月23日丨漱玉平民(301017.SZ)公佈，公司全資子公司青島漱玉平民大藥房有限公司(“青島漱玉”)與淮安市泰耀醫藥管理有限公司(“淮安泰耀”)、吉林市景耀企業管理合夥企業(有限合夥)(“吉林景耀”)、竹山雷馳企業管理合夥企業(有限合夥)(“竹山雷馳”)、青島春天之星大藥房醫藥連鎖有限公司(“春天大藥房”)以及齊河泰耀企業管理有限公司(“齊河泰耀”)和青島春天之星醫藥連鎖有限公司(“春天醫藥”)簽署《重組收購框架協議》。
協議約定，淮安泰耀作為春天大藥房的股東，指定齊河泰耀和青島春天之星健康產業投資管理有限公司(以下簡稱“春天健康”)成立春天醫藥，其中齊河泰耀持有春天醫藥80%股權，春天健康持有春天醫藥20%股權。淮安泰耀將其持有的春天大藥房直營門店資產和業務注入春天醫藥，資產重組後，春天醫藥共持有198家直營門店資產和業務，包括但不限於198家直營門店的裝修、裝飾、固定資產(不包括房屋所有權、土地使用權)、低值易耗品、庫存商品、文檔資料、房屋的承租權、銷售及經營網絡、品牌使用權、會員信息、商標權、字號等有形或無形的經營性資產以及符合約定條件的存貨。
根據協議，公司擬以不超過人民幣2.88億元(最終交易金額根據後續資產評估機構確定的評估價值，經各方協商一致並簽署《股權轉讓協議》予以確認)收購吉林景耀、竹山雷馳合計持有的齊河泰耀100%股權，從而間接持有春天醫藥80%股權，春天醫藥將持有春天大藥房注入的198家直營門店資產和業務。本次交易完成後，標的公司將納入公司合併報表範圍。
本次交易涉及的198家門店，主要位於山東省青島市西海岸新區，在當地藥品零售銷售規模和品牌影響力名列前茅。收購完成後，公司將通過降低商品採購成本、加強專業服務水平、提升銷售佔比等措施，不斷提升銷售和毛利率水平；同時，公司以當地的品牌影響力及營銷能力，進一步提升公司的市場份額。
