盛新鋰能(002240.SZ)：擬購買華友國際所持SESA 100%股權及借款債權
格隆匯9月23日丨盛新鋰能(002240.SZ)公佈，2021年9月22日，公司與全資香港子公司盛威致遠國際有限公司(“盛威國際”)、華友國際礦業(香港)有限公司(“華友國際”)、SALTA EXPLORACIONES S.A.(一家根據阿根廷共和國法律註冊成立和存續的公司，“SESA”或“目標公司”)簽署了《股權及債權轉讓協議》，盛威國際擬購買華友國際在交割日持有的SESA100%股權及華友國際對SESA的股東借款債權，交易價格為37,668,868.91美元。
SESA和POTASIO Y LITIO DE ARGENTINA S.A.(一家根據阿根廷共和國法律設立和存續的公司，“PLASA”)在2016年5月6日根據阿根廷共和國法律簽訂了公司聯合體合同(“《UT協議》”)並組建了UT聯合體；根據《UT協議》，SESA 和PLASA各持有UT聯合體50%的權益份額，SESA為UT聯合體的運營方，UT聯合體經營阿根廷SDLA項目/ Diablillos鹽湖(“SDLA項目”)。
華友國際與Hanaq Argentina S.A. (“Hanaq”)簽署《債權和股權轉讓以及不可撤銷的減資合同》，通過該減資合同，Hanaq向華友國際轉讓其持有目標公司30%股權以及債權，減資合同履行完畢後，華友國際將持有目標公司100%股權。此次盛威國際收購目標公司股權及債權需在上述減資合同履行完畢後進行交割。此次收購完成後，盛威國際將持有SESA 100%股權，並通過SESA擁有對UT聯合體的運營權，UT聯合體經營阿根廷SDLA項目。
此次收購的目標公司SESA持有UT聯合體50%的權益份額且為UT聯合體的運營方，UT聯合體經營阿根廷SDLA項目。此次收購完成後，SESA將成為公司的全資孫公司，並通過SESA擁有對UT聯合體的運營權，UT聯合體經營阿根廷SDLA項目。此次收購為公司進一步向上游鋰資源開發運營的拓展，有利於完善公司在新能源材料領域的佈局，符合公司戰略發展規劃，有利於提升公司在新能源材料領域的競爭力、增強公司的盈利能力。
同時基於雙方對鋰電新能源行業發展的良好預期，以及雙方在產業鏈上下游的緊密戰略合作，雙方有意在鋰礦資源開發、鋰鹽生產供應、鋰電材料等方面開展深入合作以促進共同發展。
