中遠海運港口(01199.HK)擬收購德國漢堡集裝箱碼頭權益 進一步完善全球碼頭組合佈局
格隆匯9月21日丨中遠海運港口(01199.HK)發佈公吿，於2021年9月21日，國龍(公司全資附屬公司，作為買方)及公司(作為買方的擔保人)與HHLA(作為賣方)就買賣(i)銷售股份(佔目標公司HHLA Container Terminal Tollerort GmbH註冊股本的35%，作價為6500萬歐元)及(ii)交割股東貸款(作價為(a)其面額及(b)截至2020年12月31日目標公司根據HHLA與目標公司訂立的集團清算協議結欠HHLA的金額的35%(即3424萬歐元)的利息(相關利息按自2020年12月31日起至交割日止期間的適用歐洲銀行同業拆息率加年利率2%計算))訂立購股協議。
交割後，國龍及HHLA將分別擁有目標公司35%及65%的股權。目標公司將仍為HHLA的附屬公司。國龍、HHLA、公司及目標公司亦將於交割時訂立股東協議。該協議將載列目標公司的管治架構，以及目標公司相關各方各自的權利。
目標公司為一家根據德國法律註冊成立的有限公司，在漢堡港經營Tollerort集裝箱碼頭。目標公司進一步持有HHLA Rosshafen Terminal GmbH的100%股份。HHLA Rosshafen Terminal GmbH為一家根據德國法律註冊成立的有限公司，主要透過向第三方分租區域及建築物作商業用途以營運鄰近Tollerort集裝箱碼頭的Rosshafen碼頭。於本公吿日期，目標公司由HHLA全資擁有。
