藍曉科技(300487.SZ)：與錦泰鉀肥、錦泰鋰業簽署戰略合作協議
格隆匯9月17日丨藍曉科技(300487.SZ)公佈，為適應市場環境變化，結合各方經營需要，在公司與青海錦泰鋰業有限公司(“錦泰鋰業”)原合作模式下調整合作方式，重組相關債權債務，深化與錦泰鋰業及其母公司青海錦泰鉀肥有限公司(“錦泰鉀肥”)的合作，公司與青海錦泰鉀肥有限公司、青海錦泰鋰業有限公司簽署《戰略合作協議》， 以實現多方的互利共贏。
2021年9月16日公司召開第四屆董事會第五次會議審議通過了《關於公司與青海錦泰鉀肥有限公司、青海錦泰鋰業有限公司簽署〈戰略合作協議〉的議案》，同意公司與錦泰鉀肥、錦泰鋰業就前述事項簽訂附生效條件的《戰略合作協議》。《戰略合作協議》尚待提交公司股東大會審議通過後生效。
三方經協商後一致同意，在公司與青海錦泰鋰業有限公司 依《3000t/a碳酸鋰生產線服務合同》《4000t/a碳酸鋰生產線服務合同》約定開展的業務合作基礎上，深化股權層面的戰略合作。
此次戰略合作對於公司進一步優化涉鋰產業鏈業務佈局，構建提鋰技術優化升級平台，與鋰資源行業優秀公司建立合作關係具有積極意義，符合公司發展戰略及整體利益。同時有助於公司資金的快速回籠，分享上游鋰資源紅利。
公吿顯示，錦泰鉀肥擁有巴倫馬海湖(採礦權面積197.96平方公里、探礦權174.14平方公里)的鹽湖，滷水中鉀、鋰資源豐富，已開採鉀肥多年，具有盈利能力和穩定的現金流。
錦泰鋰業為青海錦泰鉀肥有限公司全資子公司，主營業務為氯化鋰、碳酸鋰、硼、溴的生產、加工、銷售。為了充分發揮礦區鋰資源的效益，錦泰鋰業規劃了10000t/a碳酸鋰項目，該項目位於冷湖行委巴倫馬海礦區，投資總額9.63億元，2016年10月取得青海省海西州工信廳備案，2017年6月取得海西州環保局的環境影響評價批覆，項目各項手續齊全。
公司與錦泰鋰業簽訂了3000t/a和4000t/a兩期碳酸鋰生產線建設運營服務協議，其中 3000t/a碳酸鋰生產線已經建成投產。公司未發現錦泰鋰業發生重大償付能力風險的情況。近年來，碳酸鋰市場行情的整體向好發展將利好錦泰鋰業的碳酸鋰業務整體效益的提升。2020 年以來，錦泰鋰業碳酸鋰生產線持續運行並實現銷售，錦泰鋰業生產經營正常。公司在錦泰項目中，通過技改、創新單元的優化，不斷進行產能挖潛，提高整體產線在行業內的競爭水平，目前該項目運行良好。
公司時刻關注錦泰鋰業經營狀況及市場信譽情況，未發現導致其經營狀況惡化及影響其市場信譽的情況。錦泰鋰業和錦泰鉀肥為對方在本協議及二期4000t/a碳酸鋰生產線建設相關補充協議項下的全部義務、違約責任相互提供連帶責任保證。錦泰鉀肥、錦泰鋰業具備履約能力。
