希慎興業(00014.HK)擬35億元收購上海物業

格隆匯9月17日丨希慎興業(00014.HK)宣佈,根據日期為2021年9月17日的買賣協議,公司(透過買方希慎(上海))已同意向該等賣方(均為長江實業的間接全資附屬公司)收購目標公司Scorecity Investments Limited的全部股權(即收購事項)。

目標公司現時為項目公司(該物業的註冊擁有人)60%股權的間接持有人。收購事項將在該等賣方通過中介控股公司收購項目公司餘下40%股權(即少數股權收購)後方可作實。完成收購事項後,買方將直接擁有目標公司全部已發行股份,而目標公司透過目標公司對中介控股公司全部已發行股份的所有權,間接擁有項目公司全部股權。項目公司的主要資產為該物業。

該物業為位於中國上海市新閘路668號、688號名為"世紀盛薈廣場"的已竣工寫字樓/商鋪混合用途發展項目。

代價約等於35億元人民幣(即銷售股份及銷售貸款的代價),完成時可予調整。

根據買賣協議,該等賣方及買方已與匯豐(公司的關連人士)於2021年9月17日訂立託管協議。根據託管協議,該等賣方及買方將委聘匯豐擔任託管代理保管託管金額,惟須支付預付費用及年度行政費。

完成時,將存在一筆總額最高達18億元人民幣的未償還委託貸款(即委託貸款),該筆貸款由該等賣方的若干聯屬人士(作為委託方)透過匯豐(中國)(作為貸款代理)向項目公司(作為借款人)提供,期限為期六個月。該筆委託貸款將以買方在完成後六個月內向項目公司作出的注資償還,根據買賣協議委託貸款構成應付代價的一部分。

完成後,項目公司將成為公司的間接全資附屬公司,而根據上市規則,在通過匯豐(中國)(公司的關連人士)提供的有關委託貸款於償還前任何時間,委託貸款將構成關連人士向集團提供財務資助。
