瀚川智能(688022.SH)：股東華成智訊違規減持公司股票及致歉
格隆匯9月17日丨瀚川智能(688022.SH)公佈，公司於2021年9月17日獲悉公司股東天津華成智訊創業投資合夥企業(有限合夥)(“華成智訊”)因工作人員疏忽致日期計算失誤，違規減持公司股票的事項，根據相關法律法規的規定，現就有關事項披露如下：
2021年6月25日，公司披露了《持股5%以上股東集中競價減持股份結果公吿》(公吿編號：2021-041)、《關於持股5%以上股東權益變動的提示性公吿》(公吿編號：2021-042)和《簡式權益變動報吿書》， 華成智訊於2021年6月23日減持計劃實施完畢，減持後持有公司股份532.386萬股，佔公司總股本的4.93%，持股比例低於公司總股本的5%。
自2021年6月24日至此次違規減持前，華成智訊直接持有公司股票532.386萬股，佔公司總股本的 4.93%，期間未有任何減持行為。上述股份來源於公司首次公開發行前持有的股份。
原應於2021年9月21日持股比例減持至低於5%之日起滿90天後實施減持，由於工作人員疏忽致減持日期計算失誤，2021年9月16日，華成智訊通過集中競價交易方式減持所持有的公司股票24.5354萬股，成交均價為40.121 元/股。
上述行為違反了《上海證券交易所上市公司股東及董事、監事、高級管理人員減持股份實施細則》及《<上海證券交易所上市公司股東及董事、監事、高級管理人員減持股份實施細則>問題解答(一)》第5項規定“大股東依據《細則》通過集中競價交易、大宗交易、協議轉讓等方式減持股份至低於5%，自持股比例減持至低於5%之日起90日內，通過集中競價交易、大宗交易繼續減持的，仍應遵守《細則》有關大股東減持的規定。”華成智訊於2021年9月16日通過集中競價交易方式減持所持有的公司股票，該減持日期在自持股比例減持至低於5%之日起90日內，該減持行為未在首次賣出股份的15個交易日前向上海證券交易所備案及公吿減持計劃，構成了違規減持。
華成智訊獲悉上述違規減持行為後，已責令相關人員重新鞏固學習《上市公司股東、董監高減持股份的若干規定》、《上海證券交易所科創板股票上市規則》、《上海證券交易所上市公司股東及董事、監事、高級管理人員減持股份實施細則》和《<上海證券交易所上市公司股東及董事、監事、高級管理人員減持股份實施細則>問題解答(一)》等相關法律、法規和規範性文件，嚴格履行減持計劃事先報備及預先披露的要求，杜絕此類事件再次發生。
華成智訊對此次違規減持公司股票的行為進行了深刻反省，並就此次行為向公司及廣大投資者造成負面影響表示誠摯的歉意，以後一定會加強對相關法律法規、規範性文件的學習，加強持有公司股票的證券賬户的管理，加強事先與公司董事會辦公室的溝通，信守承諾，杜絕此類事件再次發生。
