寶鋼股份(600019.SH)：擬增資入股寶武水務
格隆匯9月17日丨寶鋼股份(600019.SH)公佈，公司及其下屬公司武漢鋼鐵有限公司(“武鋼有限”)、寶鋼湛江鋼鐵有限公司(“湛江鋼鐵”)、上海梅山鋼鐵股份有限公司(“梅鋼公司”)與公司控股股東中國寶武鋼鐵集團有限公司(“中國寶武”)下屬公司寶鋼工程技術集團有限公司(“寶鋼工程”)、馬鞍山鋼鐵股份有限公司(“馬鋼股份”)共同向中國寶武下屬公司寶武水務科技有限公司(“寶武水務”)增資。
本次增資前，寶武水務的股東為中國寶武、馬鋼(集團)控股有限公司(“馬鋼集團”)、寶武碳業科技股份有限公司(“寶武碳業”)、寶鋼化工湛江有限公司(“寶化湛江”)、武鋼集團有限公司(“武鋼集團”)。
寶鋼股份及其下屬公司武鋼有限、湛江鋼鐵、梅鋼公司，馬鋼股份以各自持有的水處理系統資產，寶鋼工程以現金，以非公開協議方式共同增資寶武水務。本次增資總額21.73億元，其中寶鋼股份及其下屬公司武鋼有限、湛江鋼鐵、梅鋼公司合計增資14.79億元，馬鋼股份增資6.61億元，寶鋼工程增資0.33億元。
本次增資總額21.73億元，按1.3949淨資產折算比例，15.58億元計入註冊資本，剩餘6.15億元計入資本公積。本次增資完成後，寶武水務註冊資本變更為24.78億元，寶鋼股份及其下屬公司(武鋼有限、湛江鋼鐵、梅鋼公司、寶武碳業及寶化湛江)合計持股49.43%。
隨着國家各項環保政策法規的出台，環保標準日益提升，環保產業專業化、集中化運營將成為趨勢。廢水處理業務及資產整合進入寶武水務，能夠進一步精幹主體、促進公司資產和運營效率的提升，通過寶武水務專業化保供服務，有利於公司更加專注於鋼鐵主業，貫徹“簡單、高效、低成本、高質量”的經營理念。公司水處理業務和資產的注入，也有利於寶武水務擴大規模，優化資源配置，可形成水處理產業鏈規模效應和協同效應，促進寶武水務大力拓展社會化服務，做大做強，公司可以分享水處理產業發展帶來的收益，獲得投資回報並分享資本價值。
