長和(00001.HK)：H3I將以法定合併方式併入Indosat
格隆匯9月16日丨長和(00001.HK)公吿， 集團已於2021年9月16日與Ooredoo集團就建議合併及相關交易訂立多項最終協議，以合併彼等各自印尼電訊業務H3I(公司附屬公司)與Indosat(Ooredoo附屬公司)。
根據建議合併，H3I將按照印尼法律以法定合併方式併入Indosat，代價為向H3I股東(包括集團)發行新合併公司股份。於合併完成後，Indosat將延續為存續法律實體(即合併公司)，而合併公司將命名為PT Indosat Ooredoo Hutchison Tbk，並維持其在印尼證券交易所上市地位。
待合併完成後及就控股公司股份交易而言，根據控股公司股份認購及出售協議，集團將(i)向控股公司轉讓其根據建議合併收取全部新合併公司股份(佔合併公司全部已發行股本21.84%)，以作為獲發行控股公司認購股份代價；及(ii)以現金代價387,000,000美元向Ooredoo集團購買控股公司出售股份，致使緊隨控股公司股份交易完成後，集團(透過CKITHL)及Ooredoo集團(透過OSEA)將各自直接擁有控股公司已發行股本50%，而於計及控股公司所持有合併公司股份數目可能增加(如第3.2節"控股公司持有Indosat及／或合併公司股份可能增加"一節所討論)前，控股公司則將擁有經根據建議合併發行新合併公司股份擴大後合併公司已發行股本65.64%。
公司認為，H3I及Indosat均準備就緒結合雙方優勢，更有效地以單一實體營運，以達致以下裨益：(i)合併公司將擁有更大規模及更具效益成架構，使其能夠加快投資於網絡、服務質素及產品與服務創新，而此舉H3I或Indosat均無法獨立達成。(ii)合併公司將為國內第二大流動電訊公司，維持其對市場業者網絡競爭力。(iii)與H3I及Indosat獨立相比，合併公司將利用兩家公司人才並能夠作出及鼓勵於基建投資，並支持印尼政府數碼進程。(iv)藉着提供更佳服務質素及提升網絡質素與可靠度，建議合併將使現有及未來客户受惠。(v)合併公司財政實力將更強大，並以其較H3I及Indosat獨立業務更密集網絡而處於更有利位置推出5G。
公司相信，建議交易將創造重大協同效益，從而能夠作出將使客户受惠投資，並將為合併公司股東帶來新增回報。
