九鼎新材(002201.SZ)：已完成對標的公司的初步盡職調查
格隆匯9月15日丨九鼎新材(002201.SZ)公佈，之前披露，公司董事會於2021年7月20日召開第十屆董事會第一次臨時會議，審議通過了《關於簽署股權收購意向協議書的議案》，同意公司與深圳正威金融控股有限公司(“正威金控”)和天健九方技術有限公司(“天健九方”)三方簽署《股權收購意向協議書》，公司擬與正威金控共同以現金方式意向性收購天健九方持有的銅川九方迅達微波系統有限公司不低於51%的股權和中科迪高微波系統有限公司不低於51%的股權。
截至公吿日，公司委託的券商、會計師、律師和資產評估機構已完成對標的公司的初步盡職調查。
依照該《股權收購意向協議書》的約定，交易對手方擬將“Ka波段低軌衞星收發模組”、“智慧燈杆5G毫米波收發模組”、“5G毫米波CPE”等相關業務訂單及對應的SIP封裝多功能芯片產品及知識產權等注入標的公司，以便其能成體系地併入本公司的主營業務。由於該多功能芯片產品及知識產權的注入涉及交易對手方於境外數個國家和地區註冊的子公司，以及包括“Single Balanced IQ Mixer 76-81GHz(單通道微波射頻信號諧波IQ混頻器芯片76-81GHz)”等54項集成電路布圖於境內外所獲得的知識產權的確認和轉移，交易雙方期許的標的公司資產注入的有效路徑和方式所依賴的交易對手方相應的內部資產重組尚未完成，對應的獲得有效資產注入後的標的公司的審計、評估即未能在預計的時間內完成。
公司及委託的券商、會計師、律師和資產評估機構正根據初步盡職調查的結果，依循《股權收購意向協議書》約定的擬注入業務訂單及對應的芯片產品與知識產權所支撐的業績承諾為基礎，向交易對手方出具《備忘錄》，敦促並積極協助交易對手方完成其內部必要的資產重組，以便雙方能依據獲得有效資產注入後的標的公司的審計、評估結果為基礎，儘快確定交易環節的關鍵要素，達成交易目標。
該意向性收購標的公司股權事項是公司與控股股東在相關領域保持產業聯動的一部分。公司在全力以赴按照董事會確立的“在微波、電子信息新材料和功能材料為核心的相關多元化發展戰略上實現有效突破”的策略目標推進該事項的同時，亦會在該產業鏈條的必要環節上的電子信息新材料領域同步並舉，力求進退有序，切實防範標的資產併購過程中的風險，確保各標的資產之間的有序銜接，產業互補。
