恩捷股份(002812.SZ)：與實控人、勝利精密設合資公司 圍繞3C消費電子和新能源等領域
格隆匯9月15日丨恩捷股份(002812.SZ)公佈，2021年9月15日，公司召開第四屆董事會第三十三次會議，審議通過《關於公司與李曉明家族成員、勝利精密及其子公司簽署<股權轉讓協議>暨關聯交易的議案》。
同意公司、公司實際控制人李曉明家族成員及其指定的第三方與蘇州勝利精密製造科技股份有限公司(“勝利精密”)於同日簽訂《股權轉讓協議》，約定共同出資設立合資公司，其中，公司及公司控股子公司上海恩捷新材料科技有限公司(“上海恩捷”)在合資公司持股10%，李曉明家族成員Sherry Lee或其指定的主體和Jerry Yang Li或其指定的主體在合資公司持股總計為37%，李曉明家族指定的第三方在合資公司持股33.2%，勝利精密在合資公司持股19.80%；並由合資公司收購蘇州富強科技有限公司(“富強科技”)100%股權，合資公司設立的香港子公司(“JOT收購方”)收購JOT Automation Ltd (“JOT”)100%股份，以2021年6月30日為交易基準日，總交易對價為7.71億元人民幣，其中JOT收購方受讓勝利科技(香港)有限公司(“勝利香港”)持有的JOT 100%的股權的對價金額等同於JOT本身2021年6月30日賬面經審計淨資產，剩下全部作為合資公司受讓勝利精密持有的富強科技100%的股權的對價(“富強科技股權轉讓款”)，富強科技股權轉讓款將參考成交賬目(指富強科技和JOT截至接管日經具有具有證券期貨相關業務資格的會計師事務所簽署的正式審計報吿)的審計結果，根據富強科技截至交易基準日的經過盡調的財務數據進行調整。同時，公司董事會擬提請公司股東大會授權管理層辦理本次交易的相關事項並簽署相關決議、協議等法律文件。
合資公司註冊資本暫定為8億元人民幣(根據需要調整)。合資公司將圍繞3C消費電子和新能源等領域，為客户提供定製化的智能製造整體解決方案，並在鋰電池隔膜生產設備製造及技術改造升級方面開展業務。
此次交易各方在《股權轉讓協議》中約定，合資公司股東在交割日後將按持股比例對合資公司追加投資3億元，用於支持富強科技開展新的募投項目，新增投資到位時間由雙方另行商定確定。
此次交易旨在充分發揮交易各方在智能製造和新能源領域的資源和優勢，深化合作力度和廣度，推動智能製造業務的穩步發展，實現資源共享、優勢互補、合作共贏。合資公司將圍繞3C消費電子和新能源等領域，為客户提供定製化的智能製造整體解決方案；拓展公司現有業務及技術，同時推動公司鋰電池隔膜生產設備製造及技術改造升級，提升核心競爭力，進一步增強公司的綜合實力。
