甘化科工(000576.SZ)：擬對蘇州鍇威特半導體增資並放棄其股份轉讓優先購買權
格隆匯9月13日丨甘化科工(000576.SZ)公佈，蘇州鍇威特半導體股份有限公司(“鍇威特”)為公司的參股公司，公司持有其20.06%的股權。
因業務發展需要，鍇威特擬以轉讓老股及增資的方式引入戰略投資者共同推動公司發展。經各方友好協商，並基於自身生產經營和業務發展需求的考慮，公司擬放棄此次鍇威特股東轉讓股份的優先購買權；同時公司將參與對鍇威特的增資。
陳濤出資500萬元受讓丁國華所持鍇威特股份26.3158萬股；南京邦盛聚源投資管理合夥企業(有限合夥)(“邦盛聚源”)出資200萬元受讓羅寅所持鍇威特股份10.5263萬股；趙建光出資1000萬元受讓羅寅所持鍇威特股份52.6316 萬股；彭玫出資1000萬元受讓張家港市港鷹實業有限公司(“港鷹實業”)所持鍇威特股份52.6316萬股。
江蘇疌泉新工邦盛創業投資基金合夥企業(有限合夥)(“邦盛創業”)出資3000萬元認購鍇威特股份157.8947萬股；徐州邦盛聚泓股權投資合夥企業(有限合夥)(“邦盛聚泓”)出資2000萬元認購鍇威特股份105.2632萬股；深圳市禾望投資有限公司(“禾望投資”)出資3000萬元認購鍇威特股份157.8947萬股；甘化科工出資1000萬元認購鍇威特股份 52.6316萬股；張家港市悦豐金創投資有限公司(“悦豐金創”)出資1000萬元認購鍇威特股份52.6316萬股。
鍇威特在功率半導體及模擬集成電路設計領域擁有較強的研發團隊和相應的產業資源。公司此次增資是基於對鍇威特價值的認可和未來發展前景的良好預期。鍇威特此次實施增資擴股有利於其進一步增強資本實力，不斷提升發展質量和經營效益，為其可持續發展奠定基礎，符合公司作為其股東的長遠利益和整體發展戰略要求。此次增資完成後，鍇威特仍是公司的參股子公司，公司的合併報表範圍沒有發生變化。此次增資的資金全部來源於公司自有資金，對公司2021年度財務狀況、經營成果和持續經營能力不構成重大不利影響，亦不會對公司未來主營業務和持續經營能力構成重大不利影響。
