模塑科技(000700.SZ)：決定轉讓美國名華100%股權
格隆匯9月13日丨模塑科技(000700.SZ)公佈，隨着汽車市場全球化、一體化的發展趨勢日益明顯，公司作為寶馬集團汽車內外飾件業務的戰略合作伙伴，為配合寶馬集團在海外市場的發展，促進與寶馬集團形成更緊密合作夥伴關係，同時也實現公司海外業務拓展，2016年公司在美國南卡羅來納州設立美國名華公司，並開展了投資建設。
(1)2018年美國工廠通過寶馬集團驗收，開始小批量供貨，供貨初期固定成本佔比大，導致生產成本較高。
(2)2019年公司通過對當地員工進行現場培訓、國內技術支持等手段，有效提升了生產效率；同時，公司積極開發Rivan、大眾、沃爾沃等本地客户。由於新項目需要比較長的開發時間，公司產能釋放不足，導致2019年仍然處於虧損狀態。
(3)2020年新型冠狀病毒肺炎疫情對美國工廠的生產經營產生較大影響，為維持工廠正常生產，公司大幅增加了本地員工的招聘，導致運營成本較高，出現較大虧損。2020年下半年公司先後通過聘請德國專家團隊、第三方諮詢公司等各種手段降低生產成本，降本效應尚未體現。
(4)鑑於目前中美貿易摩擦加劇、國際政治環境日趨複雜，海外疫情未能得到有效控制的情況，導致美國名華扭虧工作的難度、時間長度及未來投入也已遠超出公司預期。為提高公司經營質量，通過處置部分資產、收縮部分海外業務來避免可能面臨的政治、經濟、税務等風險，減少海外公司虧損對公司整體業績的拖累，公司決定轉讓美國名華100%股權。
2021年9月12日，公司與Plasman US Holdco LLC (“Plasman US”)簽訂了《股權轉讓協議書》，擬將公司全資子公司江蘇聚匯投資管理有限公司持有的美國名華全部股權轉讓給Plasman US，公司聘請了上海東洲資產評估有限公司對美國名華進行了評估，根據上海東洲資產評估有限公司出具的《資產評估報吿》，截止到估價基準日2021年6月30日，美國名華的估價金額為-3,852,048.45美元。
為了維持寶馬集團汽車內外飾件業務供貨的可持續性，公司積極與交易對方溝通，經過協商Plasman US有意願承接美國名華已有的寶馬集團汽車內外飾件業務業務，同意受讓美國名華全部股權，但考慮到由於美國名華目前處於虧損狀態且預計未來需要持續投入，經交易雙方商定，交易價格確定為1美元。
2021年9月12日，公司第十屆董事會第二十二次會議審議通過《關於出售美國名華100%股權的議案》。
此次交易尚需提交公司股東大會審議，此次交易為非關聯交易。
