德生科技(002908.SZ)：擬以9180萬元收購互聯網人力資源服務平台金色華勤51%的股權
格隆匯9月10日丨德生科技(002908.SZ)公佈，公司於2021年9月10日召開第三屆董事會第五次會議及第三屆監事會第三次會議，審議通過了《關於擬收購北京金色華勤數據服務有限公司51%股權的議案》，同意公司以自有資金人民幣9180萬元(含税)收購西藏華勤互聯科技股份有限公司(“華勤互聯”或“交易對方”)持有的北京金色華勤數據服務有限公司(“金色華勤”或“標的公司”)51%的股權。
標的公司的主要業務是互聯網人力資源服務平台，其主要商業模式是通過互聯網平台鏈接客户(中小微企業和自由職業者)與服務提供商(人力資源機構及其它企業服務機構)，為客户提供薪酬、社保、福利外包服務。業務按客户羣體劃分為兩部分：企業服務和個人服務(自由職業者服務)。其中，服務個人的產品主要是 “親親小保”App，服務企業的主要是“HRS100” SaaS平台。
目前，標的公司的服務商已經實現了全國30個省和直轄市的覆蓋，具備了全國服務能力。
雙方已於2021年9月10日簽署了《廣東德生科技股份有限公司與西藏華勤互聯科技股份有限公司、北京親親合益企業管理中心(有限合夥)及北京金色華勤數據服務有限公司管理團隊成員關於北京金色華勤數據服務有限公司之股權轉讓協議》。此次收購完成後，金色華勤成為公司控股子公司。
此次交易無需徵得債權人同意，標的公司其他股東已同意並且放棄優先購買權。此次交易不構成關聯交易，也不構成《上市公司重大資產重組管理辦法》規定的重大資產重組。此次交易事項無需提交公司股東大會審議。
此次交易完成後，標的公司承諾2022、2023年分別實現1800萬、2160萬的淨利潤，對公司的營業收入和淨利潤將實現有效支持和補充，能有效提升公司的盈利能力。在標的公司順利完成2022、2023年對賭利潤的前提下，公司將發起對剩餘49%股權的收購。其中，收購管理團隊持股的前提為管理團隊需對2024-2026年的經營業績進行承諾。因此，此次交易有助於公司提高長期盈利能力。
標的公司主要以互聯網方式從事人力資源服務，其面向的客户羣體為中小微企業及個人，為先收款後服務模式，現金流較好，賬面常年有大量現金盈餘。此次收購完成之後，能有效改善公司的現金流狀況，提升公司的資本配置能力。
此次交易是公司“基於大數據的人力資源運營服務”業務戰略的重要一步，也是公司啟動資本經營的重要開始。此次交易對公司的業務發展有重要的意義。
