深康佳Ａ(000016.SZ)：擬收購明高科技及海四達電源各100%股權 9月13日起復牌
格隆匯9月10日丨深康佳Ａ(000016.SZ)公佈，公司擬嚮明高控股等11名明高科技股東發行股份購買其持有的明高科技100%股權，擬向海四達集團等33名海四達電源股東發行股份及支付現金購買其持有的海四達電源100%股權，並向控股股東華僑城集團發行股份募集配套資金。
截至預案摘要簽署日，此次交易相關的審計、評估工作尚未完成，此次交易標的資產的交易價格尚未最終確定。
交易各方確認，標的資產的交易價格以符合《證券法》規定的評估機構出具的、且經公司主管國有資產監督管理機構備案的資產評估報吿載明的標的資產評估值為依據，由交易各方基於市場交易原則公平協商並簽署補充協議確定，最終評估結果與交易價格將在重組報吿書中予以披露。
公司近年來將PCB產業作為重點發展的業務領域之一。此次擬收購的標的公司明高科技主要從事柔性電路板、軟硬結合板等研發生產和銷售以及表面貼裝業務(SMT)，廣泛應用於消費電子、汽車電子等領域。此次收購完成後，公司的PCB業務將形成覆蓋剛性電路板、柔性電路板等系列PCB產品組合，對豐富公司PCB產品結構以及產業佈局有着積極促進作用，有利於實現公司PCB業務規模的快速增長，提升公司在PCB行業的市場地位和競爭力。
此次擬收購的標的公司海四達電源主要從事鋰離子電池產品的研發、生產及銷售，產品主要應用於電動工具及小家電、通信儲能、軍用通訊、軌道交通等領域。海四達電源擁有成熟完善的產品體系，被國內外知名廠商批量採購、使用，包括TTI、美的、科沃斯、中國移動等。此次交易完成後，公司將快速進入鋰離子電池行業，切入新能源產業領域，豐富產業佈局，增強上市公司的持續經營和盈利能力。
經向深圳證券交易所申請，公司股票(證券簡稱：深康佳 A、深康佳 B，證券代碼：000016、200016)將於2021年9月13日開市起復牌。
