威孚高科(000581.SZ)：與無錫高新區、博世中國簽署碳中和示範項目戰略合作框架協議
格隆匯9月9日丨威孚高科(000581.SZ)公佈，為建設省市級低碳示範企業，推動無錫高新區率先在江蘇省建成碳中和示範園區，公司與無錫國家高新技術產業開發區管理委員會(“無錫高新區”)、博世(中國)投資有限公司(“博世中國”)於2021年9月8日簽署了《碳中和示範項目戰略合作框架協議》。該協議簽署後，公司與無錫高新區、博世中國將充分發揮各方在各自領域的優勢，圍繞“碳達峯、碳中和”目標，展開多維度、深層次合作。
公司董事陳玉東擔任博世中國董事長，博世中國實際控制人為羅伯特·博世有限公司(“博世集團”)，博世集團持有公司14.16%的股份，根據《深圳證券交易所股票上市規則》的有關規定，該事項構成關聯交易，不構成《上市公司重大資產重組管理辦法》規定的重大資產重組，不涉及其他應履行的審批或備案程序。
甲方：無錫國家高新技術產業開發區管理委員會，乙方：無錫威孚高科技集團股份有限公司，丙方：博世(中國)投資有限公司。合作內容如下：
1、丙方擬整合碳中和領域的成功經驗，協同國際國內相關資源，助力甲乙雙方實現“雙碳”目標。
其中，丙方將從以下幾個方面與甲方展開合作：建立碳中和智庫；制定低碳示範企業評選標準；遴選重點企業並進行系統性碳盤查；設定不同行業碳減排目標；共同打造重點行業碳中和標杆企業；共同打造碳中和生態體系；共建低碳示範區；協助制定相關補貼政策；聯合建立低碳賦能中心。
丙方將從以下方面展開與乙方的合作：開展工廠碳排放分析及評估；分層探究碳減排潛能；制定碳減排戰略實施方案；提供合適的服務幫助實現碳減排目標；打造博世碳減排優秀供應商；共建行業低碳標杆企業。
2、乙方與丙方合作爭做無錫高新區碳中和先鋒示範企業，同時甲方將從相關政策上給予乙方和丙方支持。
3、上述合作內容的細則，或更多合作內容，由甲乙丙三方協商一致後以商務合同或補充協議的形式予以明確。
