創天傳承(08195.HK)決議開發提供私立輔助教育服務業務為新業務
格隆匯9月7日丨創天傳承(08195.HK)公吿，於2021年8月，公司決議開發提供私立輔助教育服務業務作為集團的新業務。私立輔助教育服務作為常規學校教育的補充，可幫助學生加深其對課堂所學知識的理解，提升其學業成績且有助於彼等更好地準備應對公開考試。私立輔助教育服務（尤其是面向當地中學生所開設者）於香港需求旺盛。集團的業務策略為積極尋求潛在投資機會以提升股東價值。
董事認為集團於私立輔助教育服務行業開展新業務將有助於集團多元化其現有業務組合及擴闊其收入來源且符合公司及股東的整體利益。董事會目前預計，待學校根據《教育條例》完成註冊後，集團將於2021年12月1日或之後開展新私立輔助教育業務。
為了更好地定位集團所發展的新私立輔助教育業務，於2021年9月7日，公司、盛安（公司一間直接全資附屬公司）及合資公司（公司一間間接全資附屬公司）與合資公司夥伴（一間由林溢欣先生全資擁有的公司）就合資公司訂立股東協議。根據股東協議，合資公司夥伴須於完成後認購屆時合資公司已發行股本的10%，其計劃於2021年10月1日完成。為向合資公司夥伴提供獎勵，其將有權在計劃於2022年10月1日進一步完成後將其於合資公司的股權增至合資公司屆時已發行股本的20%。於完成後，林先生將獲委任為總經理及合資公司董事會主席。
就股東協議而言，於2021年9月7日，公司及合資公司與服務公司（一間由林溢欣先生全資擁有的公司）及林先生訂立林溢欣服務協議。根據林溢欣服務協議，服務公司已同意(i)於期限內在學校提供針對香港中學文憑學生課程的教學服務；及(ii)委聘林溢欣先生為指定導師來教授該課程。
林先生於市場上被譽為明星導師，在幫助學生提高其中文考試成績方面擁有卓越往績。多年來，林先生與其團隊亦因自主設計的教學方法、課程內容及學習工具而享有盛譽。董事會認為，林先生及其團隊的豐富經驗、聲譽及生源將為集團提供寶貴的見解和資源，以進軍私立輔助教育服務行業。
