華信地產財務(00252.HK)擬斥6500萬港元認購基金權益及3500萬元認購東莞市漢聚實業股份

格隆匯9月7日丨華信地產財務(00252.HK)發佈公吿,公司的一間間接全資附屬公司鴻煜已分別於2020年9月30日及2021年9月2日訂立第一份認購協議及第三份認購協議,據此,鴻煜已同意認購基金Greater Bay Fund I LP的有限合夥權益,總資本承擔為6500萬港元。

及公司的一間間接非全資附屬公司東莞南星已分別於2021年2月3日及2021年9月2日訂立第二份認購協議及第四份認購協議,據此,東莞南星已同意認購目標公司東莞市漢聚實業投資有限公司股份,總金額為人民幣3500萬元。該等認購事項完成後,基金及目標公司將分別由鴻煜及東莞南星持有約9.45%及9.16%。

成立目標公司的主要目的為投資於項目公司東莞市港心房地產開發有限公司,而項目公司為物業收購事項及物業項目發展的主體實體。因此,董事獲悉,鑑於上述性質,目標公司並不從事任何業務,故自其註冊成立以來未能達成任何溢利或就此承擔任何重大負債。物業位於南城街道宏六路與宏北路交匯處東北側,總地盤面積29,006.7平方米。

基金的主要目的為投資一個房地產發展項目,該項目涉及(i)通過當地市政府組織的掛牌出讓程序收購位於中國廣東省東莞市國際商務區的地塊;及(ii)發展一個房地產綜合體,包括於已收購土地的多棟商業樓宇及住宅樓宇。

公司表示,為配合集團的發展戰略,維持及繼續擴大及發展本公司的物業投資業務,該等認購事項使集團可透過基金及目標公司投資項目公司及物業,從而多元化集團的投資組合以提升盈利能力。公司認為該等認購事項為投資項目公司及物業的良機,可令集團擴大其於東莞地區的物業投資。預計東莞的物業發展將為集團的物業投資、發展及出租業務帶來協同效應,從而擴大集團的經營收入,符合公司及其股東的整體利益。其亦符合集團的策略,即於出現良機時擴大其於東莞及中國物業市場的業務。
