榮安地產(000517.SZ):擬收購“紹安企管”49%的少數股東股權及其享有的相應債權
格隆匯9月7日丨榮安地產(000517.SZ)公佈,根據《深圳證券交易所股票上市規則》、《深圳證券交易所上市公司規範運作指引》及公司章程等相關規定,公司擬收購“榮安資管”持有的公司控股子公司“紹安企管”49%的少數股東股權及其享有的相應債權,因“榮安資管”為公司控股股東榮安集團股份有限公司全資子公司,系受同一實際控制人控制下之企業,此次交易構成關聯交易。
根據立信中聯會計師事務所(特殊普通合夥)出具的審計報吿及天津中聯資產評估有限責任公司出具的資產評估報吿,經雙方協商,公司擬以人民幣66767.43萬元收購“榮安資管”持有的“紹安企管”49%股權及其對“紹安企管”享有的相關債權(其中股權轉讓款為8956.24萬元,債權轉讓款為57811.19萬元)。
“紹安企管”於2020年9月15日通過公開競拍方式獲得紹興鏡湖新區大越路東側3號地塊。雙方股東對其按股權比例進行對等投入、同股同權,目前該項目進展順利。“紹安企管”全資子公司紹興榮安置業有限公司為開發鏡湖新區大越路東側3號地塊的項目公司,該項目土地面積50,494平方米,容積率≤2.87,位於地塊位於靈芝街道,東至規劃朱梅路,南至規劃香雪路,西至大越路道路預留用地限,北至錢陶路,地理位置良好,周邊配套設施齊全。
為增強公司房地產領域投資拓展渠道,“榮安資管”與公司共同投資設立“紹安企管”,“紹安企管”通過參與公開拍賣方式競得紹興鏡湖新區大越路東側3號地塊,合資雙方對“紹安企管”按股權比例進行對等投入、同股同權。目前該項目已進入銷售階段,在不影響項目開發進度的前提下,“榮安資管”擬退出對“紹安企管”的投資。
此次交易完成後,“紹安企管”將成為公司全資子公司,不會改變公司財務合併報表範圍,不會對公司財務及經營狀況產生重大影響,不存在損害公司及全體股東利益的情形。
