新乳業(002946.SZ)：擬以5840萬美元參股上游養殖企業澳亞投資
格隆匯9月7日丨新乳業(002946.SZ)公佈，公司為取得穩定優質的奶源供應，滿足公司“鮮立方”戰略的深化和業務規模擴大，擬通過股權投資的方式參股上游養殖企業；澳亞投資作為領先專業從事奶牛養殖、原料奶生產和銷售的企業，在中國擁有豐富的奶牛飼養經驗和穩定的優質奶源供應。
公司擬通過在香港設立的全資子公司GGG Holdings Limited (“GGG”)以5840萬美元，向 JAPFA LTD.(“佳發”)購買 AustAsia Investment Holdings Pte.Ltd. (“澳亞投資”)的16,805,598股普通股份，佔協議簽訂之日澳亞投資已發行股份的5%。
同時，在此次交易達成後，公司及GGG 將與澳亞投資現有股東及股東相關方簽署一份《批准加入契約》(DEED OF RATIFICATION AND ACCESSION)，同意GGG作為新股東加入澳亞投資現有的股東協議；另公司與澳亞投資就中國地區原奶供應事宜達成戰略合作，並與澳亞投資之附屬子公司簽署了一份自2022年開始的5年期為基礎、並可滾動續期的奶源供應協議，在GGG對澳亞投資的持股比例不低於約定比例的前提下，公司將從澳亞投資之附屬子公司獲得穩定的奶源供應。
公吿顯示，澳亞投資的主要業務為對奶牛及肉牛養殖、原奶生產、乳製品銷售等的投資，其在中國境內的奶牛養殖業務主要是通過在山東、內蒙古等地所設立的控股子公司來實現，截至公吿披露之日止，其在中國境內共經營10家規模化奶牛牧場、2家肉牛牧場，擁有奶牛約10.3萬頭，2020 年總產奶量約58萬噸。其在牧場管理以及奶牛飼養等方面皆處於行業領先地位。
此次購買股份交易價格是參考澳亞投資2020年末每股淨資產、2020年度每股盈利及其他同類交易價格，經友好協商確定，購買價格在澳亞投資2020年末每股淨資產基礎上溢價79%，按2020 年度每股盈利計算約為12倍市盈率，上述淨資產、盈利數據已經審計。
公司與國內大型、專業牧業公司進行戰略合作，有利於取得穩定、優質的奶源供應，滿足公司業務規模擴大、產品升級的需求；有利於公司進一步打造新鮮產業鏈生態圈。
澳亞投資的主營業務是生產及銷售原料奶，此次交易達成後，公司與澳亞投資就中國區域奶源供應事宜達成戰略合作並簽署了有關奶源供應協議，有利於增強公司外購奶源供應穩定性，澳亞投資的牧場分佈與公司在山東、河北等區域的乳製品加工廠分佈具有較高的契合度，有助於降低公司原奶購買成本或費用，推進“鮮立方”戰略實施的進一步提速。
此次交易完成後，公司將通過於香港成立的全資子公司GGG間接持有澳亞投資5%股份，不會導致公司對澳亞投資的控制或合併報表。
