東華軟件(002065.SZ)：擬與廣納院旗下公司等設合資公司 加速推動納米系列產品的產業化
格隆匯9月7日丨東華軟件(002065.SZ)公佈，公司控股孫公司東華智慧城市股份有限公司(“東華智慧”)與廣東粵港澳大灣區國家納米科技創新研究院(“廣納院”)全資子公司廣東省廣納科技發展有限公司(“廣納發展”)、東廣一號合夥企業(有限合夥)於近日簽署了《合資協議》。
根據協議約定，三方擬共同出資人民幣5000萬元，設立“廣納東華科技有限公司”(“合資公司”)，其中東華智慧以自籌資金出資人民幣2050萬元，佔註冊資本的41%；廣納發展出資人民幣1950萬元，佔註冊資本的39%；東廣一號合夥企業(有限合夥)出資人民幣1000萬元，佔註冊資本的20%。
近日，公司總經理辦公會在公司會議室召開，審議通過了《關於擬對外投資設立廣納東華科技有限公司的議案》。截至公吿日，控股孫公司東華智慧已簽署《合資協議》，合資公司尚在設立中。
廣納院是由國家納米科學中心和廣東共建的戰略研發機構，代表國家級納米產業科研水平，廣納院通過整合國內外資源，共同打造納米相關科技重大成果，並推動重大科研成果轉化落地，構建完整的應用基礎研究、核心技術、成果轉化、產業創新全鏈條，形成引領國際納米科技發展的技術高地和產業創新中心。
廣納發展在傳感芯片、納米醫療健康領域、納米材料領域 30 多項獨創技術具備一定產業化基礎。合資公司將產業化較為前沿基礎核心技術作為重點發力領域，推動相關核心技術的智能傳感器器件的應用與合作，廣泛應用於智慧城市建設、智慧交通等領域。
合資公司將基於廣納發展納米先進技術(包括納米傳感芯片、納米醫療、納米材料等技術)為核心，加速推動納米系列產品的產業化，全產業鏈推動納米智能集羣發展。廣納發展輸出核心產品，東華輸出集成電路等嵌入式軟件開發等能力。廣納發展和東華智慧城市將以合資公司為中心，通過合資、合作、投資、集成等方式拉動納米智能全產業發展。
亦將基於東華智慧城市在雲和智慧城市等綜合數字化領域的技術和生態合作夥伴資源積累，合資公司將拉通廣納發展和東華智慧城市的合作伙伴和生態企業，構建合資公司的運營能力和資源體系，打造納米產業集羣發展模式，並構建從硬件引入、軟件研發交付、運營服務、市場資源等形成的合力，同時吸引國內外廠商的合作。充分利用現有資源和關係，為所在區域及全國市場提供解決方案、產品和服務。
近年來，納米材料和納米芯片的興起，納米智能硬件快速發展，使得人工智能、大數據、工業 4.0、智慧城市、智慧國防、智慧健康與醫療、智慧應急管理等看得見、聽得着、有體感成為現實。然而，由於國外技術的限制，尤其我國在納米智能芯片等領域發展一直受制於人。此次合作，真正實現了科技研發與產業發展相結合、軟硬件核心技術同發展、市場與場景應用帶動需求的產業模式，將在黃埔打通納米芯片、傳感器、算法、數據治理、場景應用等全產業鏈條，從科技研發、產業落地到實際應用實現全面發展。
此次合資協議的簽訂，將持續拉通公司在國家集成電路等領域的技術合作與創新發展，積極推動公司技術矩陣發展與深度參與國家重點關注技術方向。
