合興集團(00047.HK)獲欣輝集團溢價73.9%私有化 明日復牌
格隆匯9月6日丨合興集團(00047.HK)發佈公吿，於2021年9月1日，要約人Ocean Ease Global Limited要求董事會向計劃股東提呈根據公司法第86條透過協議安排對公司進行建議私有化，當中涉及註銷計劃股份，而作為其代價，以現金向計劃股東支付每股已註銷計劃股份的註銷價。每股計劃股份港幣0.08元的註銷價，較9月1日收市價港幣0.0460元溢價約73.9%。
當該計劃生效，所有計劃股份將被註銷（並向要約人發行同等數目的入賬列作繳足新股份），而計劃股份的股份證明書此後將不再具有所有權文件或憑證的效力。公司將根據上市規則第6.15條申請撤銷股份於聯交所的上市地位，自生效日期起生效。
要約人為一間於英屬維爾京羣島註冊成立的有限公司及主要從事投資控股。控股公司、頂層公司1及頂層公司2各自為於英屬維爾京羣島註冊成立的有限公司及各自主要從事投資控股。
於本聯合公吿日期，要約人由控股公司欣輝集團有限公司全資擁有，控股公司則由頂層公司1及頂層公司2各自擁有50%。要約人及控股公司各自的董事會由洪克協先生、洪明基先生及洪鄧藴玲女士組成。於本聯合公吿日期，洪克協先生及其配偶洪鄧藴玲女士於39.3億股股份擁有權益（包括根據證券及期貨條例的視作權益），佔公司已發行股本約39.02%。洪克協先生亦為洪明基先生的叔父。
於本聯合公吿日期，洪明基先生為公司的執行董事及行政總裁及於35.6億股股份擁有權益（包括根據證券及期貨條例的視作權益），佔公司已發行股本約35.33%。彼為洪克協先生的侄子。
要約人認為，建議事項為計劃股東提供一個具吸引力的機會，使彼等能以遠高於現行市價的價格出售彼等的股份，而毋須面臨任何非流動性折現及結算風險。股份的持續低流通量會令計劃股東難以在沒有對股份市價造成不利影響下進行場內出售及在發生對股價造成不利影響的任何事件時出售大量股份。建議事項使計劃股東有機會退出對公司的投資。
此外，公司將向聯交所申請自2021年9月7日上午九時正起恢復股份於聯交所的買賣。
