PERSTA(03395.HK)：吉林弘原擬收購控股股東Aspen的股份
格隆匯9月6日丨PERSTA(03395.HK)發佈公吿，2021年9月3日，董事會接獲公司控股股東Aspen Investment Holdings Ltd.(“Aspen”)的通知，吿知吉林省弘原經貿集團有限公司(“吉林弘原”)與伯樂先生已於9月3日訂立一份協議，據此，吉林弘原將在不遲於該協議日期後的第60天購買而伯先生將出售1648557 Alberta Ltd.(“164Co”)持有的所有Aspen股份。
於該公吿日期，Aspen持有公司181,194,306股股份(相當於已發行股份總數約50.07%)及由吉林弘原、164Co及長春市麗源投資有限公司(“麗源”)分別擁有約41.09%、39.69%及19.22%權益；吉林弘原由景元先生持有60%權益及由景先生的兄弟景光先生持有40%權益；而麗源由吉林弘原、周麗梅及景月利分別擁有約98%、1%及1%權益。
完成向吉林弘原出售164Co持有的Aspen股份後，吉林弘原將成為Aspen約80.78%已發行股份總數的擁有人，而Aspen餘下19.22%的已發行股份總數將繼續由麗源持有。因此，景先生將繼續維持對Aspen的股權控制，及Aspen將繼續為公司的控股股東。
此外，2021年9月3日，董事會接獲Aspen的通知，吿知因伯先生決定向吉林弘原出售164Co持有的全部Aspen股份，一致股東協議及首份補充一致股東協議訂約方認為已無必要維持彼等於該等協議下的一致行動安排，故一份經修訂及重列的一致股東協議已於9月3日由164Co、吉林弘原、麗源、伯先生、景先生、齊桂珍(作為麗源有關經修訂一致股東協議的代名人)及Aspen訂立，據此(其中包括)，一致股東協議及首份補充一致股東協議下的一致行動安排已終止；及景先生將代替伯先生成為Aspen的唯一董事。
