《復牌公告》看通(01059.HK)59%股權易手 獲溢價12.4%提全購 明復牌
冠軍科技集團(00092.HK)公布,擬向要約人城創投資(由陳冠華全資持有)出售持有之看通(01059.HK)1.28億股份,佔其已發行股本的59.04%,每股作價0.461元,較今日(25日)收市價溢價12.44%,總代價5,907.16萬元。出售事項將可改善冠軍集團之財務及現金流量狀況。於完成後,看通集團將不再為冠軍之附屬公司。
根據收購守則,完成後要約人須提出強制性無條件全面現金要約,擬維持看通股份於聯交所之上市地位,並繼續經營看通集團之現有主要業務。看通集團主要從事系統產品銷售、軟件授權及為個別客戶度身定制的研發軟件,以及租賃系統產品及文化產品貿易。
冠軍股份及看通股份已向聯交所申請明日(26日)早上九時起恢復買賣。
